기업가치와 기업소유구조의 관계분석

초록
기업의 소유구조와 기업가치에 관한 연구는 대주주지분과 기업가치의 관계, 외부이해자지분과 기업가치의 관계분석으로 크게 구분하여 많은 연구가 있어 왔다. 본 연구는 선행연구의 이론을 바탕으로 소유구조 및 소유구조와 관련된 기업지배구조관계를 분석하기 위해 관련 변수인 내부지분율, 대주주지분율, 사외이사지분율, 기관투자자지분율, 외국인투자지분율 등과 기업가치변수인 시장가치대 장부가치비율(MTB)을 이용하여 2000년부터 2003년까지 상장기업을 대상으로 다중회귀분석을 실시하였다. 분석결과를 보면 내부경영진이 소유하고 있는 지분율에 관하여 완만한 U자형의 절충가설이 유의하게 채택되었으며, 외부대주주 포함 대주주지분율은 이해일치가설이나 절충가설과 통계적으로 유의한 결과를 보이지 않고 있다. 내부경영진과 기업가치 관계를 보면 Jensen & Meckling이 주장한 이해일치가설이 받아들여지고 있어서 내부 경영진에 소유가 집중된 기업일수록 경영자와 주주간의 이해관계가 일치되어 대리인비용이 감소하고, 기업성과가 증가한다는 결과를 보여주고 있다. 또한 사외이사를 제외한 기관투자자, 외국인투자자들의 역할이 기업성과와 연계되어 이루어지고 있음을 확인하였으며, 사외이사의 역할에 있어서는 형식적인 절차에 그치지 말고 적극적인 감시활동을 할 수 있도록 제도적인 변화와 경영진의 마인드에 변화가 있어야 함을 시사점으로 제시하고 있다.
Abstract
The purpose of this thesis is analysis of the relationship between corporate value measured by market to book value and ownership structure consisted of equities of large shareholders, inside owners in the board of managements, outside directors, institutional investors, foreign investors.For this purpose, this study used the individual enterprise data of 1,745 firm-year observations of industrial firms listed in the Korea Stock Exchange for four years from 2000 to 2003. It tried to approach the actual data closely so that estimate the relationship between corporate value and ownership structure truely. The study used not only correlation analysis but also ordinary least squares regression analysis.The empirical study verified the U type between the board of management' equity ownership and firm value. It is contrary to the result that large shareholders' ownership didn't have any significance of relationship of corporate value. The other variables except for outside directors' equity ownership have significant relationships along with firm value but outside directors didn't have any statistical significance. This result tell the truth that the monitoring role of outside directors have not performed in the meeting of board of directors in Korea.
