대주주지분율이 자사주 매입과 현금배당의 선택에 미치는 영향

본 연구는 기업의 소유집중도가 지급정책(payout policy)의 선택에 미치는 영향을 살펴보았다. 구체적으로 기업이 잉여현금흐름(free cash flow)의 주주환원수단인 현금배당과 자사주 매입의 선택에 있어 소유구조(대주주지분율, 대주주지분율과 2대주주지분율 차이)가 어떠한 영향을 미치는지를 실증적으로 분석하였다. 2001년부터 2005년 사이에 거래소에 상장되어 있는 기업 중 금융업에 속하지 않고 자사주 매입 또는 현금배당을 실시한 기업(1,667개 기업－년)을 대상으로 실증분석 한 결과, 가설의 예상대로 대주주지분은 시가총액대비 자사주 매입액과 현금배당액의 차이, 자사주 매입비중(자사주 매입액/(현금배당액＋자사주 매입액)과 음(－)의 관련성이 있는 것으로 나타났다. 또한 대주주지분 대신 설명변수로 대주주지분과 2대주주지분의 차이를 이용한 추가분석에서도 시가총액대비 자사주 매입액과 현금배당액의 차이, 자사주 매입비중(자사주 매입액/(현금배당액＋자사주 매입액)과 음(－)의 관련성이 있는 것으로 나타났다.기업의 소유집중도에 따라 잉여현금의 주주환원수단인 자사주 매입과 현금배당이 전략적으로 선택되어 질 수 있음을 제시하는 본 연구의 결과는 향후 규제당국이 효과적인 제도정착에 필요한 정책을 입안하는데 도움을 줄 수 있으며, 학계나 실무계에도 많은 도움을 줄 수 있을 것으로 기대된다.
Abstract
This study empirically analyzes the effect of ownership structure on the strategic choice of payout policy. Specifically, this study investigates whether ownership structure((1) the largest stockholder's equity holdings, (2) the difference of the largest stockholder's equity holdings and the second largest stockholder's equity holdings) affects the choice of cash dividends and stock repurchases as means of distributing free cash flows to stockholder.The sample consists of non－banking firms(1,667 firm－years) with December fiscal year listed in Korean Stock Exchange over 2001～2005. Empirical findings are summarized as follows; First, as it is shown in table 4－3, there is significant negative(－) association between the largest stockholder's equity holdings and stock repurchases(stock repurchases－cash dividends differences). Second, as it is shown in table 4－4, the difference of the largest stockholder's equity holdings and the second largest stockholder's equity holdings have a significant negative(－) relation with stock repurchases and also have a significant negative(－) relation with stock repurchases－cash dividends differences.The results of this study can provide beneficial information to the academic and administrative work by verifying differences in choice of payout policy depend on ownership structure.
