회사재건 시도기업의 시장반응과 재무특성과의 관계

본 연구에서는 사적 기업재건(기업개선작업)과 법적 기업재건(법정관리, 화의)을 시도하는 기업의 기업재건시도시의 시장반응과 관계가 있는 재무적 특성을 파악하고자 하였다. 연구대상은 1998년중에 사적 기업재건을 시도한 44개 상장회사와 법적 기업재건을 시도한 41개 상장회사이며 본 연구에서 소개한 재무적 특성들은 재무적 건전성, 수익성, 기업규모, 외부감사인의 감사의견이다. 본 연구의 실증분석결과 첫째, 사적 기업재건을 시도한 기업과 법적 기업재건을 선택한 기업간에는 재무적 특성변수 중 기업규모 대용변수인 총자산 자연로그값에서만 유의한 차이가 나타났다. 또한 기업재건성공기업과 그렇지 않는 기업간에 유의한 차이가 있는 재무적 특성변수 또한 총자산자연로그값이었다. 둘째, 기업재건시작시의 시장조정모형에 의한 누적초과수익률을 종속변수로 하고 재무적 특성변수를 독립변수로 한 회귀분석에서 유의한 (+)의 회귀계수는 총자산자연로그값이었다. 셋째, 기업재건수단, 기업재건성공여부를 종속변수로 한 로짓분석에서도 유의한 독립변수는 총자산자연로그값이었다. 본 연구의 결과 사적 기업재건과 법적 기업재건을 구분하는 재무적 특성, 기업재건 성공여부를 구분하는 재무적 특성, 기업재건시작시의 시장반응에 유의한 영향을 미치는 재무적 특성은 모두 기업규모변수인 것으로 밝혀져 시장참여자에 의한 재무곤경기업의 기업재건성공여부 판단과 이에 따른 시장반응에는 기업규모가 영향을 미친 것으로 밝혀졌다.
Abstract
In this study we investigate the relation between security market response at the event date of firms that start reorganization and financial characteristics of those firms. Our sample consists of 85 financial distressed firms that start workout or legal procedure in 1998. Our empirical results are as follows.First, in the t-test of mean difference, asset size of workout firm is significantly larger to that of legal procedure firm. And asset size of successfully reorganized firm is significantly different to that of unsuccessfully reorganized firm.Second, in the regression analysis, the cumulative average abnormal returns of firm that starts reorganization procedure are significantly related to the firm size variable.Third, in the logit analysis, dependent variable substituting for firm reorganization means is significantly related to firm size variable. And dependent variable substituting for whether the firm will succeed in reorganizing itself or not is significantly related to firm size variable.Therefore our empirical result shows that the asset size of financially distressed firms has an effect on the response of market participants at the commencement of firm reorganization.
