임원배상책임보험 가입 기업의 특성

초록
집단소송제도입등과 함께 기업과 임원에 대한 소송위험이 점차 높아지고 있으며, 이와 함께 임원배상책임보험에 대한 사회적인 관심과 가입기업들의 수도 빠른 속도로 증가되고 있다. 그럼에도 불구하고 현재까지 회사임원배상책임보험에 대하여 실증자료에 근거한 분석 연구는 국내에 전무한 실정이다. 이에 본 연구는 최근까지 임원배상책임보험을 자발적으로 가입한 기업들과 가입하지 않은 기업들의 특성을 비교분석하고, 한국 기업들의 임원배상책임보험가입여부를 결정짓는 요인에 대하여 실증적으로 살펴봄으로써 국내에서 임원배상책임보험이 어떠한 기능을 담당하고 있는가를 고찰해보았다. 실증분석 결과, 국내기업들이 기업과 경영자의 효율적인 위험분산을 위하여 본 보험에 가입하고 있음이 발견되었다. 또한 대리인비용과 거래비용이 회사임원배상책임보험 가입의사결정에 영향을 미치고 있음을 확인할 수 있었다. 본 연구의 결과는 소송위험이 높아져가고 있는 현실에서, 기업과 경영자의 효율적인 위험분산효과를 위하고 적극경영의 보장 등을 위해서는 임원배상책임보험 가입이 주주, 경영자 모두에게 의미를 줄 수 있음을 시사한다. 또한 향후 본 연구가 기업의 소송위험에 대한 선도적인 연구라는 점에서도 연구의 의미와 정책적 시사점을 찾을 수 있다.국문 색인어 : 임원배상책임보험, 소송위험, 위험분산, 대리인비용, 거래비용
Abstract
Because of the settlements of Securities Class Action, directors and officers of corporations are more exposed to the litigation risk. Therefore concerns for Directors' and Officers' (D&O) Liability Insurance and the sales of them are growing rapidly in Korea.Using data on directors' and officers' insurance policies from 2001 to 2003 gathered from listed firms in Korea, this paper investigates why corporations buy this insurance and what are the determinants of firms' demand for D&O insurance. We find that firms and managers with greater litigation risk are more likely to purchase D&O insurance to share the risk. Firms with more agency costs are more likely to purchase this insurance, also the transaction cost have influence on making decision to purchase insurance.The overall results of this paper suggest that D&O insurance make firms and managers take appropriate business risk and share risks more efficiently. This paper can be meaningful, because it is the first empirical research on litigation risk in Korea.
