기업지배구조는 전략경영의 연구에서 중요한 분야이다. 본 논문에서는 기존의 경영전략 분야의 지배구조 연구를 정리하여 그 한계점을 밝히고, 연구 분야의 확대 가능성을 설명하였다. 기존의 연구는 대부분 지배구조 매커니즘이 다양한 기업경영의 상황에 긍정적인 영향을 미치는 것을 실증하는 연구들이다. 본 논문에서 주장하는 바는 지금까지의 연구는 지배구조에 의하여 기업경영이 개선될 수 있다는 것을 증명한 과정이므로, 이제는 어떠한 요인들이 기업지배구조에 영향을 미치는가에 관하여 연구할 필요성을 제기하는 것이다. 기업지배구조의 결정요인으로서의 연구영역으로서 본 논문에서는 네 가지를 제시한다. 첫째, 경영자는 전통적으로 지배구조에 많은 영향을 미치는 것으로 간주되었으나, 경영자에 대한 가정이 대리인이 아닌 청지기가 되는 경우에 대하여 정리하였다. 둘째, 지배구조 개혁에 관한 외부의 압력을 제도이론의 관점에서 분석할 수 있다. 셋째, 지배구조는 국가마다 경로의존성이 있어 제도적 환경의 영향을 받을 수 있다. 넷째, 정보통신기술의 발달이 지배구조의 개선을 가져올 수 있다.
Abstract
This paper intends to suggest new area in studying corporate governance. Most of existing studies about corporate governance analyze the impact of governance structure on various management situations. In reviewing the existing studies, we divided the governance studies into four area based on the dependent variables. We have also found moderating variables affecting the relationship between governance structure and corporate management. We suggest that because most of existing studies are about the impact of governance structure on management, we need to study the determinants of governance structure. We proposed four research areas that can affect governance structure: managerial control power based on agency theory and stewardship theory, outside pressure based on institution theory, institution environments, and information technology based on resource-base view.
