정치학에서 동아시아 금융위기 이후 기업지배구조에 대한 관심이 고조되었지만, 이 문제에 대한 이론적 검토가 거의 이루어지지 않았다. 자본주의 다양성연구, 법경제학적 비교연구 및 정치경제학적 제도연구는 이 문제를 실증적으로 검토하였을 뿐 정치경제적 분석을 위한 독자적인 이론틀을 제시하지 않았다. 기업지배구조에 대한 이론적 무관심은 정치학자들이 법경제학과 경영학에서 지배적인 패러다임인 주주모델을 비판없이 수용하고 있다는데 있다고 할 수 있다. 주주모델은 기업지배구조를‘이사회 정치’로 한정시킴으로써 기업조직 밖에서 지배구조에 영향을 미치는 정치적 요소들에 대한 분석을 거의 불가능하게 만든다. 기업지배구조의 정치경제학적 분석을 위해서 이 글은 주주모델의 이론적 기초를 해체하고, 주주모델에 대한 대안으로 이해관계자모델을 제시한다. 이해관계자모델은 기업활동에 영향을 미치는 다양한 이해관계자들—채권자, 경영자, 노동자, 정부 등—과 그 결과로서 형 성된 제도들을 분석한다. 두 가지 모델의 비교를 통해, 이 글은 주주모델이 보편적 유형이 아니라 이해관계자모델의 역사적으로 특수한 유형이라는 주 장을 제기한다.
Abstract
Although there is burgeoning literature on the corporate governance problem. However, little progress has been made in theorising the problem, in the wake of the East Asian financial crisis. Scholars of 'Variety of Capitalism', law and economics and political institution examine the issue empirically, but do not provide an analytical framework. Their indifference to theoretical aspects is due, in large part, to the fact that they take it for granted that the shareholder model is a general model of corporate governance. By confining corporate governance to 'boardroom politics', this model makes it almost impossible to analyse political factors that exist outside of the corporation organisation. To understand the politics of corporate governance, this essay deconstructs the theoretical foundations of the model. It also suggests a stakeholder model which examines preferences of various stakeholders- including creditors, managers, employees, government and the public- and political institutions. By comparing the two models, it argues that the shareholder model is a historically-specific variant of the stakeholder model, not the universal model.
