>인터넷기업이 벤처창업 붐과 지식경제시대의 지식기업이란 측면에서 주목받고 있다. 또한 인터넷기업을 성공적으로 발전시키기 위한 연구도 많이 나오고 있다. 그러나 인터넷기업에 관한 이론적 연구는 많지 않다. 이와 함께 2000년 이후 인터넷기업의 거품론과 위기론이 대두되면서 인터넷기업의 기업지배구조 문제가 제기되고 있다. 본 연구의 배경은 인터넷기업에 대한 이론적 연구의 필요성과 최근 한국 인터넷기업이 처한 상황에서 찾을 수 있다. 본 연구의 의의와 목적은 한국 인터넷기업의 지배구조에 대한 현상 파악과 이론적 문제 탐색이다.본 연구는 한국 인터넷기업의 기업지배구조가 어떠한 모습을 갖고 있으며, 어떤 점을 연구해야 할 것인지 라는 질문에서 출발한다. 특히 두 가지 연구질문을 중심으로 연구를 수행했다. 첫째, 인터넷기업과 같은 지식기업은 기존의 제조기업과 지배구조가 서로 다른가? 둘째, 재벌의 지배구조와 인터넷기업의 지배구조는 다른가? 이 질문에 대한 잠정적 결론은 다음과 같다. 첫째, 지식기업과 제조기업의 지배구조는 논리적으로 보면 달라야 할 것 같지만, 현실은 그렇지 않은데, 그 이유를 현재 한국기업 대부분이 주식회사라는 법률적 제도를 따르고 있다는 점에서 찾을 수 있다. 둘째, 한국 재벌의 지배구조와 비교해 보면 한국 인터넷기업의 지배구조는 많은 유사점을 갖고 있지만 동시에 차이점도 갖고 있다. 이를 명확히 하기 위해서, 인터넷기업의 지배구조를 몇 가지 유형으로 나누었다. 한국의 대표적 인터넷기업인 다음커뮤니케이션, 한글과컴퓨터, 메디다스, 하이텔 등의 사례를 중심으로 기업지배구조의 유형분류를 위해서 그들간의 유사성과 차이점을 논의한다. 이런 유형 분류를 바탕으로 제조기업과 재벌의 기업지배구조와 비교하였다.
Abstract
Concerning the recent situation of Korean economy and corporations, the two key words have been highlighted. One is Internet business company (IBC) that is also known as knowledge intensive firm (KIF). The other is corporate governance system. Nevertheless, not many researchers have been dealing with these themes, while a great number of researchers seems to be very keen to work on how to set up new IBC and to improve their business performances.The aims of this research are to explore and illustrate corporate governance system of IBC in Korea, especially to categorize the types of IBC and to compare IBC with traditional manufacturing companies. Thus, the paper starts with the two research questions. Firstly, is corporate governance system of IBC different from that of traditional manufacturing company? Secondly, is corporate governance system of IBC different from that of Chaebol?The tentative answers of these questions are as follows：Firstly, with regard to corporate governance system, IBC is more or less the same as traditional manufacturing company, partly because IBC is also based upon the same legal framework, i.e., joint-stock company as traditional manufacturing company ; secondly, corporate governance system of IBC has similarities as well as differences comparing to Chaebol's system.
