초록
투자펀드산업의 핵심은 펀드를 운용하는 펀드운용업자(자산운용회사)이지만 펀드를 판매하는 판매업자(판매회사)와 펀드자산을 보관하는 보관업자(투자신탁의 수탁회사, 투자회사의 자산보관회사)도 투자펀드산업에 있어서 중요한 역할을 담당한다. 펀드자산 보관업자는 단순히 펀드자산을 보관하는데에서 나아가 펀드운용업자가 하는 펀드운용행위의 적법성을 감시함으로써 투자자의 이익을 보호하는 기능도 수행한다(투자펀드의 내부지배구조). 또한, 신탁형펀드인 투자신탁의 경우 자산운용회사는 투자신탁재산에 대한 운용지시만 하고 실제 거래집행은 보관자인 수탁회사가 하도록 하고 있다.37) 판매회사는 펀드산업관여자 중에서 실제 투자자와 직접접촉하는 자이므로 투자펀드상품 개발을 비롯한 펀드산업 전반에 걸쳐 중요한 역할을 수행한다. 특히, 우리나라처럼 자산운용회사가 판매회사의 자회사로 설립되어 있는 지배구조 하에서는 더욱 중요한 의미를 가지게 된다. 이 외에도 투자펀드산업에 관여하는 자로서는 펀드재산의 회계처리 및 기준가격 산정업무를 수행하는 일반사무관리회사, 펀드의 성과를 평가하는 펀드평가회사, 채권가격을 제공하는 채권평가회사, 간접투자증권의 예탁발행과 펀드재산인 투자증권의 예탁 및 결제등을 담당하는 증권예탁원등이 있다.
Abstract
Investors are getting more interested in investment trust funds due to the introduction of new types of funds such as entertainment fund since the Indirect Investment Asset Management Acts was in effect on January 5, 2004. Purpose of this paper is to review and evaluate the current status and the changes in investment environment of asset management companies. The changes in investment environment such as low rate of interest, increase in financial asset and increase in the ratio of old population greatly helped asset management industry to grow in U.S.. Similar changes have occurredin Korea. Therefore, there is also increase in the demand for asset management service. However, it is hard to say that the changes in investment environment help asset management companies in Korea to grow since the assets of funds did not change much in recent years despite of increase in GDP and financial assets. It is proper and has important meaning to enact the Indirect Investment Asset Management Acts since it provides legal ground for fund industry to develop in face of changes in investment environment. However, it needs to be amended in many areas. Especially, we need to review the way of regulating private funds to satisfy various demands for asset management service.
