융합적 공기업지배구조에 관한 연구

초록
양재진(2005)은 우리나라를 비롯한 동아시아의 급속한 국가성장과 위기는 발전국가론에서 비롯되었다고 보고 이를 치유하기 위해서는 앞으로 국가발전 방향을 ‘융합적 발전모델’ 즉 ‘발전적ㆍ민주적ㆍ조합주의’로 나아가야 한다고 주장하였다. 우리나라의 공기업은 지금까지 국가발전과 더불어 성장하여 왔다. 따라서 ‘국가발전모델’과 ‘공기업지배구조의 진화’는 그 궤를 같이 하여 왔다고 보고, 거시적인 측면에서 제시한 ‘융합적 발전모델’의 기본 틀(방향)에 따라 미시적인 측면에서 미래의 우리나라 공기업 지배구조를 설계하여 보았다. 최근 정부에서 ‘공공기관 지배구조 개선안’을 발표함에 따라 이 시안을 중심으로 미래 우리나라 공기업 지배구조를 비판적 입장에서 검토하였는데, 이 시안이 ‘융합적 국가발전 모델’에서 말하는 공기업 관리의 ‘민주적 요소’, 즉 공기업 경영주체인 공기업 경영진의 독립적ㆍ자율적 경영의 토대를 마련한 것은 바람직한 것으로 판단된다. 그러나 ‘융합적 발전모델’의 ‘발전적 요소’인 공기업 행정주체의 역할과 ‘조합주의적 요소’인 공기업 생산주체의 측면에서 볼 때 적지 않은 문제점을 내포하고 있음을 발견할 수 있었다. 공기업 행정주체인 공공기관운영위원회가 우리나라 명실상부한 공기업 소유권 행사 기구로서의 역할을 하기 위하여 공기업 경영진 임명권, 민영화 관리 등의 업무를 통합적으로 수행할 수 있도록 개선되어야 하고, 사기업에 비해 조직이 많이 안정되어 있는 공기업에서 먼저 생산주체인 공기업 종업원의 권리와 책임에 대한 바람직한 지배구조를 제시하여야 한다고 주장하였다.
Abstract
Korean public enterprises have always been developed with Korean economic growth. Neo-state-developmental-statism insists that the nation's developmental destination in the future should be oriented to the fused model: Developmental-Democratic- Corporatism. Considering on the historical relation between Korean national economic growth and developmental processes of Korean public enterprises, Korean public corporate governance should follow the same fused neo-state-developmental-model. In this context, this paper evaluated the new Korean public corporate governance model which was published by Korean government recently. Its managerial entity(ex, board of directors in public enterprise) is ascertained to be democratic. But I found out that there are some problems in administrative entity(ex, committee for managing public enterprises) and productive entity(ex, employee and trade union) in the aspect of developmental corporatism. Several institutional alternatives were suggested to improve the developmental corporatism of the new Korean public corporate governance model.
