증권시장 위법행위들의 효율적 억지시스템에 관한 법경제학적 분석

최근 La Porta, Lopez-de-Silanes, and Shleifer(2006, LLS)는 49개국 증권거래 법제 및 각국 전문법조인들의 견해를 토대로 작성된 방대한 자료를 갖고 실증분석을 수행함으로써, ‘증권시장의 최적제도 모색’이라는 연구분야의 새 지평을 여는 결과를 도출하였다. 구체적으로, 증권시장에서 발생하는 발행공시 관련 위법행위에 대하여 ‘규제’, ‘책임원리’, ‘감독기관 공적집행’이라는 세 가지 억지수단을 상정하고 증권시장의 활성화에 미치는 효과를 다각적으로 검증하였다. “‘책임원리’와, 그것에 근거하여 사적 손해배상소송을 촉진시키도록 고안된 ‘규제’ 이 두 가지 억지수단은 중요하나, ‘공적집행’은 별 역할을 못한다”는 LLS의 실증분석결과는 학술적으로는 물론, 증권시장 및 여타 금융시장의 발달을 위해 고심하는 제도입안가들에게도 의미심장한 결론이다. 본고에서는 LLS의 자료를 사용하여 소위 ‘규제와 책임원리의 조합’ 주제에 관한 그간 법경제학적 이론논의를 좀더 면밀히 반영할 수 있도록 여러 실증적 탐구를 수행한다. 마지막으로, 국내 증권시장의 위법행위 전반에 대한 효율적 억지시스템 개발에 주는 함의를 더욱 실체화 및 정교화하기 위한 대표적 후속연구들을 제시한다.
Abstract
La Porta, Lopez-de-Silanes, and Shleifer (Journal of Finance, 2006, vol. 61; LLS hereafter) has recently undertaken a path-breaking empirical analysis based on a massive amount of legal and economic data related to the securities markets of 49 countries. LLS has focused on the effect of securities laws on deterring various harmful activities and on developing stock markets. LLS has found little evidence that public enforcement benefits stock markets, but strong evidence that 'laws (regulations)' mandating disclosure and facilitating private enforcement through 'liability rules' benefit stock markets. This empirical verification by LLS provides significant implications not only to policy makers but to law and economic scholars who have independently studied on the optimal combination of 'regulation' and the 'liability rule.' Starting from brief theoretical discussions, this paper explores the LLS data in various ways to better reflect beneficial effects of the joint use of 'regulation' and the 'liability rule.' Finally, the paper offers immediate future research agenda to contribute to designing an efficient deterrent system against harmful activities in the Korean securities market.
