기업분할의 성과는 무엇인가?

초록
본고는 외환위기 이후 기업구조조정의 한 수단으로 도입된 기업분할의 성과를 분석하였다. 기업분할에 따른 성과분석 결과 기업분할 이전과 비교하여 1인당 경영지표, 기업 수익성 및 재무구조가 개선된 것으로 나타났다. 매출수준도 기업분할 이후 신장세를 유지하는 것으로 분석되었다. 기업분할 이후 분할기업과 신설기업의 성과 비교에서는 신설기업의 성과개선이 보다 뚜렷한 것으로 나타났다. 기업분할 유형별로는 업종전환 분할의 성과개선이 보다 유의하였다. 기업분할 제도별로는 인적분할과 물적분할은 각각 신설기업 및 분할기업의 성과개선에 보다 적합한 것으로 분석되었다.본고는 최근 기업분할 제도를 도입한 우리나라를 분석대상으로 하였다는 점에서, 비교적 최근의 기업분할 경향을 반영하고 있다. 한편, 미국이외의 국가 대상의 분석이라는 점에서 기존 연구와 비교해 추가적 시사점을 제공하고 있다. 또한, 기업분할이후 신설기업들을 분석 대상에 포함하고 산업조정 지표를 이용하여 분석함으로써 분석 결과의 타당성을 제고하였다는 점에서도 의의가 있다.한글 색인어 : 기업분할, 경영성과, 사업전문화, 인적분할, 물적분할
Abstract
This paper analyzes the performance of corporate divestiture introduced in Korea after the 1997 currency crisis as a means of corporate restructuring. It turns out that after divestiture not only factors such as per capita business index, corporate profitability, and financial soundness improve, but the level of sales also continues to increasea since the diveistiture. A comparison of corporate performance between divested firms and newly created firms after divestiture shows that the latter’s performance improvement is more apparent than that of the former. The analysis on corporate divestiture by type shows that the improvement of corporate performance due to corporate-focused divestiture is relatively more significant. On the other hand, the analysis on corporate divestiture by system shows that spin-offs and non-spin-offs are more appropriate for improving business results for the newly created firms and divested firms, respectively. This paper contributes to the literature in that it reflects the current tendency of divestiture by analyzing the case of Korea and that it analyzes the usefulness of the corporate divestiture system for a country other than the United States. In addition, the significance of this paper lies in that it increases the validity of the empirical results by analyzing newly created firms after divestiture with the use of an industry-adjusted index.
