중소기업 창업세대의 고령화가 빠르게 진행되면서 경영승계 문제가 중소기업의 현안과제로 부상하고 있다. 그러나 기업의 경영승계를 ‘부의 대물림’으로 보는 사회 일각의 부정적 인식과 과중한 상속증여세 문제, 후계자 양성프로그램의 부재 등으로 인해 중소기업의 경영승계가 원활하게 이뤄지지 못하고 있는 상황이다. 경영승계가 원활하지 못해 폐업으로 이어질 경우에는 기업 내부에 축적된 기술과 경영 노하우 등 소중한 무형자산이 소멸되고 일자리와 생산설비 등이 상실되어 국가경제에도 적지 않은 손실을 초래하게 된다.산업화의 역사가 우리보다 앞선 선진국에서는 ‘경영승계의 원활화가 국민경제의 안정 성장과 고용유지, 그리고 중소기업 경쟁력 제고를 위해 매우 중요하다’는 인식하에 상속세제와 후계자 양성 등에 관한 획기적인 정책변화를 시도하고 있다. 그러나 우리나라의 경우, 산업화의 역사도 일천할 뿐 아니라 경영승계에 대한 부정적 인식 등으로 인해 특별한 지원제도가 마련되지 못했다.따라서 중소기업의 지속적인 성장과 이를 통한 국민경제의 성장 동력 회복이라는 차원에서 경영승계 문제의 중요성을 새롭게 인식하고 과감한 정책적 지원이 이루어져야 할 것이다. 중소기업의 생산활동에 제공되는 재산에 대한 상속증여 과세제도를 개선하여 승계 비용 부담을 완화시켜 주어야 한다. 경영승계에 대한 사회일각의 부정적인 인식을 개선하는 것도 시급한 과제 가운데 하나다. 역량 있는 후계자를 양성하기 위한 교육프로그램을 운영하고 경영승계에 관한 정보 및 컨설팅 서비스를 종합적으로 지원하는 효과적인 지원체계도 구축해야 한다. 경영승계가 어려운 경우에는 M&A시장 활성화 등을 통해 이들 기업이 지속적으로 유지발전할 수 있는 대안도 모색할 필요가 있다.
Abstract
Management succession has emerged as the key issue among SMEs with the rapid aging of the SME founders. The management succession, however, has not performed well due to excessive estate taxes and donation taxes, lack of successor fostering programs, and negative public attitude.The failure of appropriate management succession will eliminate such intangible properties as know-how, accumulated technologies, etc., thereby causing the severe loss to our national economy. A long time ago, developed countries recognized that a smooth management succession would be inevitable for the sustainable growth of their economy and competitiveness of SMEs as well as job security. So, they have made a dramatic change of policies toward estate tax and the training programs for successors.The Korea government, however, has not yet established systematic supporting rules for the management succession of SMEs because of its negative views on transferring of wealth inheritance to their offspring. Given the roles SMEs play in our economy, we need to look at the management succession in a new approach in that they are driving force for the continued economic growth. It is necessary to lessen succession costs through the revision of estate tax and gift tax system against the productive SMEs assets. One of the priorities is to minimize the negative public sentiment toward wealth heritance. Education programs for nursing their successors should be established along with total informationand consulting service about management succession. In some cases, such alternatives as merger and acquisition (M&A) etc. should be sought to last for the long run.
