>Lev(2001)에 의하면, 지식기반경제에서는 무형자산이 기업가치의 중요한 결정요인이 되고 있다는 인식이 점점 확산되고 있다. 선행연구들에 따르면 기업의 연구개발비지출이나 광고선전비에 대한 지출이 기업의 가치에 관련성이 있다는 실증적인 증거를 보여주고 있다. 본 연구에서는 코스닥 시장을 대상으로 기업의 무형자산에 대한 다양한 지출이 기업의 경제적 영업권의 형성에 기여하고 있는지를 실증적으로 분석하였으며, 우리나라 자본시장에서 외국인 투자자의 중요성이 부각되고 있는 환경을 반영하여 외국인 투자자 및 최대주주 지분율이 기업의 경제적 영업권 형성에 영향을 미치는지에 대하여 분석하였다. 분석결과는 다음과 같다.첫째, 무형자산에 대한 지출로서 연구개발비, 광고선전비 지출은 기업의 경제적 영업권의 형성에 긍정적인 영향을 미치는 것으로 나타났다. 둘째, 기업의 자본투자규모의 경우에도 경제적 영업권의 형성에 기여하고 있는 것으로 나타났다. 셋째, 외국인 투자자 지분율은 기업의 경제적 영업권과 양(＋)의 관련성을 나타내 외국인 투자자들은 경제적 영업권이 높은 기업을 투자대상으로 선호하고 있는 것으로 나타났으나, 최대주주 지분율은 경제적 영업권에 음(－)의 영향을 미치는 것으로 나타나, 최대주주가 높은 지분을 보유하는 경우 자본시장에서는 기업지배구조가 열악한 것으로 해독하고 있는 것으로 나타났다. 본 연구의 결과는 기업의 경제적 영업권이 형성되는 요인을 분석하였으며, 기업의 지배구조가 기업의 경제적 영업권 내지 기업가치 형성에 영향을 미치고 있다는 것을 실증적으로 분석하였다는데 의의가 있다.
Abstract
>According to Lev(2001), there is a growing recognition that intangible assets are important determinants of firm value in a knowledge－based economy. Prior research reveals that R&D expenditures, and the advertising expenses are associated with firm value. This study empirically examine the various factors of the firms’ economic goodwill(eg. R&D expenditures, advertising expenses, capital investments, foreign investors’s share－holdings etc). To test hypothesis we employed multiple regression model in KOSDAQ market from 2001 to 2006. Results are as follows;First, R&D expenditures, and the advertising expenses are positively associated with the firms’ economic goodwill. Second, the firms’ capital investments are positively associated with the firms’ economic goodwill. Third, foreign investors’ share－holdings are also positively associated with the firms’ economic goodwill. Forth, the largest investor’s share－holdings are negatively associated with the firms’ economic goodwill. These results suggest that the investments related with intangible assets are effective, and the corporate governance are important in forming economic goodwill.
