The Study on the Executive Officer System of Japanese Companies

The purpose of this study is to introduce the plan of executive officer system into Korea, which is resulted from the reform of board of directors(BOD) system in Japanese companies. Executive officer is a person who represents his or her function in executing the corporate management policy under the supervision and control of the board of directors. In 1997, Sony company first introduced the executive officer among Japanese enterprises. Now many Japanese companies are trying to change their traditional corporate governance system, in which auditors(the board of auditors) were streamlined, into the US corporate governance system, which includes the reduction of the size of the board of directors and the introduction of executive officers. In conclusion, This study aims at cultivating the possibility to invite the Japanese executive officer system into Korean companies.
