美國 金融法上 民事金錢罰 制度에 관한 硏究

A Study on Civil Money Penalties under the U.S. Financial Law

초록

1989년 8월 9일 미국에서는 금융기관개혁갱생제재법(FIRREA)이 제정되었다. FIRREA의 주된 목적은 ① 예금수취기관의 건정성 및 안정성을 제고할 수 있는 규제구조를 창설하고, ② 연방예금보험기금의 재정안정성을 확보하며, ③ 이러한 목적을 달성하는 수단으로서 민사금전벌 제도를 강화하는 것이다. FIRREA는 1980년대 저축ㆍ대부산업에서의 10여년에 걸친 금융위기에 대처하기 위한 것으로서, 예금수취기관에 대한 연방규제의 대폭적인 개정이라는 결과를 가져왔는데, 금융기관에 대한 연방금융감독권자의 제재권한이 상당히 강화되었다는 점을 특징으로 하고 있다. FIRREA에서 예금보험제도에 의한 보호를 받는 부보 금융기관과 금융기관 관계인이 민사금전벌의 대상으로 되는데, 민사금전벌은 자기자본비율 충족이나 자본보완명령 위반, 금융법 위반 또는 ‘건전성기준’(safety and soundness standards) 위반 등의 경우 부과될 수 있다. 그리고 이러한 민사금전벌은 부보 금융기관과 금융기관 관계인에게 병과될 수 있다. FIRREA에서 민사금전벌의 대상으로 추가한 금융기관 관계인이란 내부자, 지배력을 행사하는 기타의 자, 금융기관의 업무에 참가하는 자, 독립계약자 등 4가지 범주의 법인과 개인을 포함하는 매우 광범위한 개념이다. 민사금전벌은 ① 사적 당사자로 하여금 회피하거나 수령한 손실 또는 경제적 이익을 상환하도록 요구하는 塡補賠償的 性格(a compensatory element)과 ② 벌금(a financial penalty)을 부과하는 抑止的 性格(a deterrent element)의 兩者를 포함하고 있다. 부당이득반환(disgorgement)을 명하는 민사금전벌에서 법원은 경제적인 이익을 광의로 해석하고 있는데, 예를 들어 불법적으로 형성된 금융조직으로부터 주주에게로 귀속되는 조세상의 이익까지 경제적인 이익으로 보고 있다. 민사금전벌의 운영에 있어서 헌법상 민사금전벌과 다른 제재들을 병과할 수 있는지의 문제, 즉 민사금전벌의 이중처벌 해당 여부에 대한 쟁점도 매우 중요하다. 미국에서는 이 쟁점에 대해 매우 치열한 법리논쟁이 있었고, 이를 반영하듯 연방대법원에서의 Halper 판결과 Hudson 판결과 같은 상반된 판결이 존재한다. 이러한 논의는 우리 나라에도 시사하는 바가 매우 크다. 왜냐하면 향후 금융기관 임․직원에 대한 과징금을 도입함에 있어서도 동일한 문제가 발생할 것이기 때문이다. 위헌이 아니라는 전제하에, 본고는 민사금전벌과 유사한 개인과징금 제도를 우리 나라에 수용하기 위한 세부방안도 고찰하였다. 금융의 脫國境化와 함께 Global Standard에 맞는 금융제도를 강구하려면 현재의 신분상 제제에서 금전상 제제 위주로 제재의 패라다임을 변화시켜야 한다는 것이 본고의 착안점이다.

Abstract

Civil money penalties are the harshest civil sanctions that the U.S. federal bank regulators can levy against individuals. Although civil money penalties have been on the books since 1978, the old maximum penalty of $1,000 per day was comparatively modest in size. In the Financial Institutions Reform, Recovery and Enforcement Act of 1989 (FIRREA), in the aftermath of the savings and loan crisis during 1980s, however, the U.S. Congress substantially expanded the grounds for imposing civil money penalties and hiked the maximum penalties to financially ruinous proportions. Both insured depository institutions and institution-affiliated parties are potential targets of civil money penalties. Civil money penalties may be assessed for infractions ranging from the failure to fulfill capital ratios or capital directives to violations of financial laws, regulations or safety and soundness standards. In FIRREA, the U.S. Congress authorized three different tiers of civil money penalties with increasing amounts, depending on the respondent's level of culpability and the gravity of harm. Civil money penalties can contain both a compensatory element that requires private parties to repay any losses and/or economic benefits received, and a deterrent element that imposes a financial penalty. In civil money penalties that order disgorgement, the U.S. courts have interpreted 'economic benefits' broadly include, for instance, tax benefits redounding to shareholders from illegally formed banking entities. This paper suggests the adoption of civil money penalties against individuals to the Korean financial industry modeled on the U.S. scheme. In advance, constitutional issues such as double jeopardy, deprivation of private right to property and consequential potential for agency abuse should be overcome. This paper deeply analyses the pre-requisite condition and procedural mechanisms regarding civil money penalties. U.S. experiences in terms of either regulators or financial institutions will be good lessons for the future reform.
