자본시장통합법상 파생상품 규제의 내용과 개선과제

2009년 2월 4일부터 시행되는 자본시장통합법상의 파생상품 규제체계는 현행법상의 파생상품 규제체계와 커다란 차이가 있다. 현행법상의 파생상품거래에 관한 규정들은 선물거래법·증권거래법·간투법 등 각 업법에 산재하여 있다. 자본시장통합법은 각 업법에 산재되어 있는 파생상품거래 규정들을 자본시장통합법으로 흡수·통합하고, 파생상품의 개념 정의를 체계화하였으며, 기초자산의 범위를 확대함으로써 급변하는 금융현실에 대응할 수 있는 제도적 기반을 제공하고 있다. 주목할 점은 자본시장통합법이 파생상품 규제의 기본법규가 되었다는 사실이다. 이는 증권회사, 은행, 보험회사 등 각 금융기관이 서로 동등한 위치에서 제한적으로 수행하는 현행의 파생상품 규제체계가 금융투자회사가 주도적 지위를 가지는 것으로 대폭 변경되었다는 것을 의미한다. 이에 따라 금융투자회사와 은행 및 보험회사와의 사이에 형평성과 일관성, 규제차익, 공정경쟁의 문제가 제기될 가능성이 크고, 이는 결국 은행법, 보험업법을 비롯한 타 금융법률의 개편을 불가피하게 만들 것이다. 장기적인 측면에서는 전체 금융법의 통합 문제가 논의될 수 있다. 금융법의 통합에 있어서는 자본시장통합법의 태도가 가이드라인이 될 수 있다. 다만 각 금융권역의 법제도적 특성과 투자자 보호, 건전성 규제의 수준이 상이할 것이므로 이러한 내용이 반영될 수 있어야 할 것이다. 단기적으로는 은행, 증권, 보험의 큰 틀에서는 칸막이를 유지하되, 업종간의 규제차이에 따른 비효율성을 최소화하기 위해서 핵심업무에 해당하지 않는 금융업무들은 금융권역간의 겸영을 확대할 필요가 있다.
Abstract
There is all the difference on capital market regulation system between Capital Market and Financial Investment Business Act (Enforcement Date : February 4, 2009, hereafter “CMFIBA”) and existing financial laws in Korea. CMFIBA switchover current institutional regulation system to functional regulation system, and unified various carrying entities in operation into financial investment business company. There are also big changes in relation to regulation structure of derivative transactions. Laws, for example Securities and Exchange Act, Futures Trading Act, which regulate derivative transactions are scattered over each financial area. CMFIBA unified articles and regulations of derivative transactions, systematized the definition of derivatives, and extended the categories of underlying assets, and play a key role in the innovation of financial market. This article focus on the regulation system of derivative transactions under CMFIBA, and discuss problems to be solved. First, this article compares securities companies’ financial derivative transactions under current Securities Exchange Act with Financial Investment Business Company under CMFIBA. Then a through analysis are conducted on the problems which will be presented after the date of its promulgation.
