새로운 共同企業 類型의 導入에 관한 硏究- 유한책임회사를 중심으로 -

Since the Commercial Law have been made by Congress in 1962, the Commercial Act have given an official recognition to the company of four types. New company structure which fit for the small company have been discussing for a long time and acknowledged the need for improvement by the Government and scholars. With the result, the Government submitted the amendment draft of Commercial Law in 2006 to introduce new company system. This amendment draft of Commercial Law includes introduction of new type of company. That is the Limited Liability Company(LLC). This new company system is based on the company system of United States. This company system runs together Partnership and Corporation. As it were, the inside of Limited Liability Company(LLC)'s structure is disposition of partnership and outside of Limited Liability Company(LLC)'s structure is disposition of Corporation that share the limitation liability. This new company system is based on the U.S. Limited Liability Company, so this paper introduce to U.S. LLC on the Revision Uniform Limited Liability Company Act 2006(RULLCA) and then researched important things of Limited Liability Company(LLC) in the amendment draft of Commercial Law, like a foundation, relation on the inside, relation on the outside and etc.
