은행산업의 합병 논리에 대한 비판적 고찰에 관한 탐색적 연구

1980년대 이후 최근까지 선진국들은 은행의 대형화와 겸업화를 통한 규모의 경제나 범위의 경제를 얻기 위해 은행간 또는 은행과 비은행 금융기관 사이의 합병을 지속적으로 추진해오고 있다. 우리나라의 경우도 1997년말 33개 기업이든 은행 숫자가 합병을 통해 2004년 이후 현재, 19개 기업으로 줄어들었다. 이에 은행합병의 다양한 효과를 살펴보고 은행간 합병을 통한 대형화만이 은행의 생존전략이 될 수 있는지 검토하고자 한다. 검토 결과 은행의 합병은 비용이나 이윤측면에서는 물론 은행의 건전성 측면 등 모든 상황에 뚜렷한 개선을 가져다 준 것은 아니라는 사실을 알 수 있었다. 따라서 합병을 통한 대형화가 경영의 효율성을 향상시킬 것이라는 추측은 막연한 기대에 불과하다는 사실을 파악할 수 있으며 또한 합병을 하기는 쉽지만 성공한 합병을 이룩하기가 얼마나 어려운 지를 이해할 수 있을 것이다. 그러므로 단순히 은행간 합병을 통한 대형화만이 변화하는 금융환경에서 살아남을 수 있는 은행의 유일한 생존전략이라고는 할 수 없기 때문에 은행간 합병에 의한 방법이 아닌 겸업화 등 가능한 여러가지 다양한 방안을 모색해 보는 것이 필요할 것이다.
Abstract
After 1980s, the developed countries consistently promote M&A among banks and between bank and non-bank financial institute to obtain the economy of scale and the economy of scope through consolidation and convergence of banks. In case of Korea, the number of bank that was 33 corporations in the end of 1997 is decreased 19 corporations after 2004 by the M&A. Therefore, this thesis examines various effect of M&A of bank and investigates that only the consolidation through the M&A of bank can be the survival strategy of bank. As a result, M&A cannot have the result that brings the obvious improvement in the aspect of not only the soundness of the bank but also the cost and profit. So we can find the fact that consolidation by the M&A will improve the efficiency of management is just a vague expectation, and that just M&A is easy, but how hard the successful M&A is. Therefore, because only consolidation by the M&A between banks cannot be bank's unique survival strategy in the changing financial environment, we need to grope various possible ways such as convergence except the way by the M&A between banks.
