이사의 책임제한과 경영판단의 원칙

기업의 경영에는 많은 위험적 요소가 내재되어 있기 때문에 경영판단을 할 당시에는 회사의 최상의 이익에 부합하는 것으로 믿고 행한 의사결정이 훗날 실패로 끝나는 경우가 종종 있다. 우리 상법은 이사의 경영판단의 오류에 대해 사후적으로 임무해태에 따른 결과책임을 물을 수 있도록 하고 있으나 때로는 그 책임이 너무 가혹하여 기업이 유능한 인재를 경영진으로 유인하는데 큰 장애가 되거나 엄격한 책임추궁을 두려워한 나머지 이사들로 하여금 소신껏 자신의 경영수완을 발휘하지 못하게 하기도 한다. 이러한 점을 고려하여 현행 상법은 총주주의 동의로 이사의 책임을 면제해주는 규정을 두고 있으나 그 요건의 엄격성으로 인해 그 실효성이 의문시 되어 왔다. 이러한 문제를 해결하기 위해서는 이사의 손해배상책임한도를 합리적으로 제한하거나 아니면 미국의 판례법상 확립된 경영판단원칙을 상법에 수용함으로써 경영진을 보호해주어야 할 것인데, 전자에 대해서는 이미 상법 개정안에서 수용하기로 하였으므로 본고에서는 경영판단의 원칙에 의한 이사의 책임제한 방안에 대해 그 적용요건을 검토하였다.
Abstract
Today, directors of corporation owe duty of care and many other duties to their corporation, and they are liable for losses of the corporation resulting from their negligence of their duties. But the excessive liability of the directors of corporation may cause another problems, such as a passive management of directors and an evasion of being appointed as director. So there is a necessity for a positive corporate management by restricting the liability of the directors. Considering these points, The Korean Commerce Code prescribe the director's liability elimination by wholesome agreement of shareholder's. However that requisite does not have feasibility, so it should be changed. And also the compensation amount of money of liability of the directors must be set concretely, as the ceiling on the liability the director must pay. Another way to let directors relax from excessive liability is to introduce the Business Judgement Rule that was formed in an American case law. According to the Rule, responsibility of a director can be relaxed as follows. For the execution of company business by directors, various management judgements are required. If they make an overall judgement by using the knowledge as a professional manager, it is necessary to hold legal judgement in suspense or to exempt them from personal liability in consideration of the uncertain and flexible elements of management judgement. Though directors of corporation make decisions in good faith, with due care, and for the best interests of the company, their decisions may lead to damage to the company because of unpredictable economic situation or passive, flexible factors. It is necessary to handle management failure differently from simple mistakes or liability with fault. If the reasonable liability of director and protection from the high burden were prepared in our corporate governance, the directors would do their best in managing the company.
