The corporate governance is also in korea hot issue. The discussion about it is not over. We should try to find out desirable corporate governance in korea. The korean government is preparing for reform of korean commercial code. The executive officer system will be adopted. Japan has enacted new corporate law in 2005. In the case of governing bodies of companies in new japanese corporate law, it is possible to compose of no less than twenty types of bodies to make it various. In this article, the author has tried to point out the special character of japanese corporate governance, especially that of new corporate law 2005. On the other hand, the author analysed the corporate internal control. The author gives some suggestions about the desirable corporate governance in korea.
