A Study on the Corporate Social Responsibility and Corporate Governance in China

Foreign investors have got a stronger voice than ever before since the volume of foreign investments in the Chinese stock market began to display the steady increase. It should be noted that a large number of investors from the United States and the European countries have been interested in the socially responsible investment as well as the financial performances. Chinese businessmen respect CSR(Corporate Social Responsibility) seriously and efficient communications with shareholders and there will be favorable atmosphere for Chinese companies to enjoy a new dimension of business environment. Recently many people in business circle advocate ethic management. In other words, corporate social responsibility is recently more stressed than any time in China. CSR early times and the following developments both in United States and in China were analysed. CSR was introduced. CSR as a corporate ethic. CSR is seemingly attracting public attention recently, Multinational corporations are making their great efforts to survive in fierce competition. There is no exception to China, whose market is globalized after entering WTO and trying to evolve its economic structure from quantity-oriented growth to quality-oriented growth. Following the growth, the growth of economy, the protection of environment, the safety of products, and the public benefits, so-called social responsibility, are highly recommended with management of business in China. Influential mass communications and NGOs, regulated by the Chinese Government, have already exercised periodical inspection and supervision on CSR of multinational companies. Even if operating CSR systematically for a long time, however, corporations are short of fruitful results in China. It is largely because those companies still don't understand cultural uniquenesses and economic environment in China. Most of problems appear to have been stemmed from their mismanagement in CSR, illegal act, environmental pollution, and low quality production, In fact, the root of problems ascribes to the revolutionary changes in China's business envirnment and the rudimentary changes in the perceptions of Chinese consumers, the Chinese press, and the Chinese government toward the companies' social responsibility. The Chinese recognition of the social recognition of the multinational enterprises. The outside director has been introduced to improve the manger- monitoring capability of corporate boards of directors. The most important thing is to great the outside director the independence. It is necessary to foster the supervisory role of the board of directors. Check and balance is of essence in corporate governance as well.
