본 연구는 기업의 소유구조와 대리인비용 간의 관계를 규명하고자 한다. 본 연구에서는, 기업의 소유구조를 외국인 지분율과 경영자 지분율로 구분하여, 소유구조 변수 각각이 기업의 대리인비용에 미치는 효과뿐만 아니라 이들 변수 간의 상호작용이 기업의 대리인비용에 미치는 영향에 대해서도 가설을 수립하였다. 본 연구에서는, 외국인 투자자와 지분을 소유한 경영자 각각이 기업의 대리인문제를 완화시키는 것보다 외국인 투자자와 지분을 소유한 경영자가 함께 상호작용을 하는 상황에서 기업의 대리인문제가 더욱 줄어들 것이라고 주장하였다. 2001년부터 2004년 기간 동안 한국 증권거래소에 상장되어 있는 기업들을 대상으로 실증 분석한 결과, 외국인 지분율이 높아지거나 경영자 지분율이 높아질수록 기업의 대리인비용이 낮아지는 것으로 나타났다. 그러나 외국인 지분율과 경영자 지분율의 상호작용을 통하여 기업의 대리인비용이 더욱 낮아지지는 않는 것으로 나타났다. 본 연구결과는, 외국인 투자자의 경우 지분율이 높을수록 더욱 적극적인 감시자로서의 역할을 수행하여 기업의 대리인문제를 완화시켰으며, 경영진 또한 많은 지분을 보유할수록 기업의 대리인문제를 완화시키는 방향으로 기업 경영을 했음을 시사한다. 비록 본 연구에서는 자료상의 한계 때문에 기업의 대리인비용을 정확하게 측정하지 못하였으나, 미래 연구에서는 이에 대한 세심한 접근이 요망된다.
Abstract
This study examined whether a firm’s ownership structure plays an important role in reducing the agency costs within the firm. More specifically, we investigated the individual effects of the ownership of foreign investors and the ownership of top management on agency costs. Furthermore, we also examined an interaction effect between the foreign ownership and the management ownership. The results from our empirical study partially support the hypotheses that a higher ratio of foreign ownership leads to lower agency costs in corporations and that a higher ratio of the ownership of top management leads to lower agency costs. However, the results of this study reject the interaction hypothesis, implying that there is no interaction between the foreign ownership and the management ownership in further reducing the agency costs of the corporations. This study provides important implications for both academics and practitioners by examining the relationships between both types of ownership and the agency costs within the firm.
