초록
이 글은 크게 두 부분으로 이루어져 있다. 전반부는 주로 독점적 통상실시권 침해에 관한 법적효과의 문제를 다룬다. 독점적 통상실시권의 침해에 대하여 손해배상 청구권을 인정할 수 있는지, 있다면 그 이론적 근거, 요건, 한계는 무엇인지를 중심으로 종래 학설의 접근방법과 입장을 비판적으로 검토한다. 이를 위해 먼저 특허실시권 제도에 관하여 간략한 비교법적 고찰을 수행하고 통상실시권의 본질을 살펴본다. 독점적 통상실시권 침해를 제3자에 의한 채권침해라는 불법행위의 한 형태로 파악하되, 독점적 통상실시권이 가지는 특징으로 인해 침해의 성립요건으로서 일반적인 불법행위보다 한층 더 엄격한 위법성을 필요로 함을 논증한다. 독점적 통상실시권자에게 고유의 금지청구권을 인정해서는 아니 되는 반면, 채권자 대위권에 기한 금지청구권은 인정해야 할 필요와 그 타당 근거를 밝힌다. 후반부는 특허권에 전용실시권이 설정된 경우의 법률문제를 다룬다. 침해로 인한 손해배상청구권이 특허권자와 전용실시권자에게 각각 어떻게 귀속되는지 검토하는 한편 계약의 유형별로 쟁점이 다르고 학설이 대립하므로 이를 점검하고 필자의 견해를 제시한다. 아울러 전용실시권이 설정된 후에도 특허권자가 여전히 침해에 대한 금지청구권을 행사할 수 있는지의 문제도 살펴본다.
Abstract
This article consists of two major parts. The former part mainly deals with the infringement of 'Sole-non-exclusive license'; If the licensee can be conferred of original remedy for the patent infringement. Being possible, what are the theoretic basis, criteria and limitations of the it? This article sustains critical view against the general opinions which have been generously on behalf of the licensee. This article overviews the patent license system of some major countries in comparative law's aspect enlightening the legal substance of 'license'. This article mainly grasp the infringement of Sole-non-exclusive license a type of misconduct which entails damages. However, due to the characteristics of Sole-non-exclusive license's own, the standard of infringement constitution should be set much stricter. This article also demonstrates why direct injunction relief should not be given to the Sole-non-exclusive licensee while the subrogation injunction of patentee is available. The later part describes the legal issues of infringement when there is exclusive licensee for the patent. It deals with how the damages should be distributed between the licensor and licensee as well as who can exercise what kind of rights to the infringer. This article reviews the variety of debate over the various legal issues of exclusive license including if the patentee still can seek for injunction after he set exclusive license to the third party.
