지배・종속 기준의 통일가능성에 관한 연구

초록
본 연구는 경제적 동일체를 ‘공동으로 기업가치 극대화를 추구하는 집단’으로 정의하고 공동성 또는 집단성을 판단하는 기준으로 사용되는 독점규제 및 공정거래에 관한 법률(공정거래법)의 지배종속기준과 주식회사외부감사에 관한 법률(외감법)의 지배종속기준의 통일가능성을 검토하였다. 두 법률이 규정한 지배종속판단기준의 통일가능성을 검토하기 위해 법률 적용의 우선순위를 살펴보았지만 공정거래법과 외감법은 그 우열을 가릴 수 없다. 따라서 특정법률이 다른 법률에 우선 적용될 수 없기 때문에 하위기준들 즉 구체적 판단기준의 통일가능성을 검토하였다. 공정거래법과 외감법 상의 지배종속판단기준은 책임기준과 지배력기준으로 통일할 수 있으며 책임기준은 채무보증을 포함하고 지배력기준은 대표이사기준을 제외함으로서 두 법률의 기준이 통일될 수 있음을 보였다. 금융위원회의 결정은 지배종속의 판단기준에서 제외하였다. 이렇게 지배종속관계를 규정하는 법률 간의 차이를 일치시킴으로써 기업들의 입장에서는 이중규제에서 벗어날 뿐만 아니라 기업 자신들의 행위에 대한 결과를 예측 가능할 수 있게 되었다. 이는 기업 활동이 효율적으로 이루어질 수 있는 기본을 갖추는 것으로 판단된다.
Abstract
This study suggested the possibility of unification of parent-subsidiary criteria of The Monopoly Regulation and Fair Trading Act(MRFTA) and of The Act on External Audit for Joint Stock Company(AEAJSC). The condition of unification of two acts is that economic single entity as the companies pursuing to maximize the firms value in concurrence with. This study found no priority of application in two acts and two acts had more commonalities than differentiations. Instead of separate application of tow acts, this study suggest using liability criterion adding the guarantee to pay debts and control criterion excluding the representatives criterion. Through minor moderation in liability and control criterion, companies can get out of double regulations and predict the results of their action. In addition, this study questioned the authority of the Financial Service Commission' to decide the relationship between companies as parent and subsidiary entities in AEAJSC. Using modified liability and control criteria will make companies predict the result of their action and provide the fundamental baseline to enhance the efficiencies of companies.
