영국 경쟁위원회의 Lloyds TSB Group plc/Abbey National plc 합병 건에 대한 결정: 주요 내용 소개 및 위 결정이 주는 시사점

한국의 은행산업은 1997년 외환위기로 인하여 부실화된 은행에 대한 정부 차원의 구조조정과 2001년 이후의 은행 당사자 간의 자발적인 은행 규모 불리기 경쟁 등으로 인하여 대형화가 본격적으로 진행되고 있다. 위와 같이 국내은행들이 대형화를 추구한 결과 국내은행들은 그 규모면에서 크게 성장한 반면 은행시장의 시장 집중도도 상당히 높아졌다. 이와 같이 국내 은행산업의 집중도가 높아진 상황에서 국민/외환 은행 합병 건이 은행시장에서의 경쟁을 제한하는지 여부가 문제되었다. 이에 대하여 국내에서는 위 합병의 효과에 대하여 상반된 견해가 대립되고 있다. 이러한 국민/외환은행 합병 건과 관련한 논란에 대하여 영국 경쟁위원회(Competition Commission)의 Lloyds TSB Group plc/Abbey National plc 합병 건에 대한 결정은 많은 시사점을 줄 수 있다. 그 이유는 미국과는 달리 영국은 국토의 크기, 인구수, 은행시장의 상황 등이 우리나라와 유사한 점이 많고, 특히 Lloyds TSB Group plc/Abbey National plc 합병 건은 국민/외환 은행의 합병과 같이 선두권 사업자와 5-6위권 사업자간의 결합으로서 사안 자체도 유사하기 때문이다. 따라서 본 논문에서는 Lloyds TSB Group plc/Abbey National plc 합병 건에 대한 영국 경쟁위원회의 결정의 내용을 자세히 소개하는 것을 주목적으로 하고, 위 사건 결정이 우리나라 은행시장에서의 합병에서 가질 수 있는 의미에 대하여 간단히 논평하였다.
Abstract
The banking industry of Korea is currently going through a stage of expansion which was initiated by the government's restructuring of banks due to the economic crisis in 1997 by the government's restructuring and voluntary expansion on the part of the banks since 2001. As a result of the expansion of banks, the scale of Korean banks significantly increased as well as the market concentration of banking industry. While the market concentration of Korean banking industry increased as thus, whether the potential merger between Kookmin Bank and Korea Exchange Bank will restrict the competition in the banking industry became an issue. There is a controversy in Korea regarding the effects of the merger. With regard to controversy related to the potential merger between Kookmin Bank and Korea Exchange Bank, the decision of the Competition Commission of the United Kingdom concerning the merger between Lloyds TSB Group plc and Abbey National plc may have some significant implications. The reason for this is that the United Kingdom, unlike the United States, is very similar to Korea in terms of the size of land, population and the situations in banking industry. The merger between Lloyds TSB Group plc and Abbey National plc is similar to the merger between Kookmin Bank and Korea Exchange Bank, since both cases involve the merger between a leading competitor and a competitor that is ranked 5th or 6th in the market. This paper shall, therefore, primarily focus on the introduction of the decision of the Competition Committee of the United Kingdom and provide a brief review on the implications of the decision on the potential merger of the two banks in Korea.
