유엔통일매매법의 유보조항에 관한 고찰

초록
1980년 4월 Vienna 외교회의에서 채택되어 1988년 1월 1일부터 효력이 발생한 「국제물품매매계약에 관한 UN 협약(The United Nations Convention on Contracts for the International Sale of Goods)(이하에서는 ‘협약’ 또는 ‘CISG’로 약칭함)」이 2005년 3월 1일부터 우리나라에서도 발효하였다. 2005년 4월 현재 이 협약에 가입한 국가는 모두 63개국인데(2006.1.1부터 발효하는 Gabon과 2006.4.1부터 발효하는 Cyprus 포함하면 65개국), 우리와 무역을 하는 대부분의 나라가 이 협약에 가입하고 있는 실정이므로 이제 국제물품매매계약에서는 이 협약이 준거법으로 적용될 가능성이 아주 많아지게 되었다. 본고에서는 협약의 적용범위와 관련하여 협약 제4편(최종조항)에서 허용되고 있는 유보조항에는 어떤 것이 있고, 각 국가별로 협약에 가입할 때 실제로 어떤 유보선언을 하고 가입하였는지를 분석해 보았다. 이를 통해 법률전문가가 아닌 실제 무역에 종사하는 자들로 하여금 자기가 거래하는 상대국과의 거래에서 과연 CISG가 전면적으로 적용되는지 아니면 일부만 적용되는지, 아니면 그 적용이 배제되고 다른 법이 준거법으로 적용되는지를 알 수 있을 것이다. 한눈에 알기쉽도록 본문 중에 협약의 가입국 현황과 유보현황을 도표로 제시하였다. 본 연구가 무역 당사자들에게 다소나마 도움이 되기를 희망하여, 필자는 본 연구를 기초로 협약의 적용범위에 관한 구체적인 연구를 계속할 계획임을 밝혀둔다.
Abstract
The United Nations Convention on Contracts for the International Sale of Goods (CISG) came into force from 1 January, 1988, which had been prepared by UNCITRAL and adopted by a diplomatic conference at Vienna in 1980. Besides Republic of Korea (in which CISG entered into force on 1 March, 2005), sixty three countries have become members of the Convention as of 10 June 2005, and two more countries (Gabon and Cyprus) will also join the party within 10 months. Since most of countries trading with South Korea participate in the CISG, there is quite a possibility that CISG will be the Applicable Law in trading with South Korea. This study focuses on Reservation (especially related on the Sphere of Application of CISG) that are included in Part 4 of CISG(Final Provisions). Furthermore this study analyses the reservation declaration that each country made when it acceded to the Convention. This study would also give a guide whether the CISG is to extend to all or partial cases, or whether there is another applicable Law when South Korean trade with the other members of Contracting States. A table showing a current member status of the Convention and a condition of the reservation is presented for the better understanding. The author expect that this study could be helpful to the participants who are not law-expert but engage in the international trade. Finally, further study is required to analyse the Sphere of Application of CIGS, based on the results of this article.
