초록
1997년도이후 우리나라는 국제통화기금관리체제에 놓일 정도로 경제적 어려움에 처해 있었다. 이러한 상황에서 국제통화기금측에서 부실한 기업을 정리하고, 기업경영의 투명성을 제고하는 방안으로 우리에게 요구하고 있는 것이 회사의 인수․합병의 적극적인 허용이었고, 이로 인하여 이제 인수․합병거래는 경제구조조정의 일환으로 활발히 논의됨은 물론 실거래가 진행되고 있고 이에 따른 다양한 법률문제가 제기되고 있다. 최근에는 벤처기업의 인수․합병이 다시 정책적으로 검토되고 있는 실정이다. 인수․합병과 관련하여 기본적으로는 인수․합병의 기본구조를 규율하는 상법, 회사의 집중화방지, 경쟁제고 등을 목적으로 한 독점규제및공정거래에관한법률, 인수․합병과 관련된 일반소액투자자보호를 위한 증권거래법, 인수․합병의 구조와 직결되는 세법, 그외에 피인수회사의 근로자의 지위에 관한 노동관계법, 인수․합병의 구체적인 절차와 관련된 등기관계법, 비송사건절차법, 기타 환경법, 보험법등 인수․합병과 직․간접으로 관련이 있는 법규가 무수히 많다. 따라서 본고에서는 이와 같은 여러 가지 법규들을 살펴보고자 한다.
Abstract
In order to develop the society and success the economy, Every country should deal with rapidly changeable economic situation. Mergers and Acquisitions are reorganizing nowadays. This article is based on the sustainment of corporate and protection of shareholders and investors and the aim of this article makes the function of market harmonize, analyses real mergers and acquisitions and prepares the legal affairs for the safe of bringing out into the open. And also its aim remains growth of corporations, balance of our economy and protection of investors. Generally mergers and acquisitions are defined variously. These days our country M&A situations are likely to locate in the elementary step of the friendly M&A so that breaks through passing lack of finances and the poor financial structure prima facie. More and more internationalizing, We should prepare the case that our corporates are on the party of subject (raiders) and object (targets). Providing that, our limit is restricted to find the most efficient responsible ways. So, this article trys to collect the provisions that scatters in various laws and acts and legal practices, provide the factors which needs in every M&A and consider the trials that can compete openly. I anticipate little bit assist in our commercial laws.
