초록
수익자 등 신탁의 이해관계인은 수탁자를 상대로 하여 신탁관련장부의 열람이나 설명 또는 교부를 청구할 수 있는데, 그 근거법령이 신탁법과 舊신탁업법(舊신탁업법 폐지 이후에는 자본시장과 금융투자업에 관한 법률)으로 나뉜다. 이러한 두 법률이 정하고 있는 대상 서면과 청구내용이 일치되지 않아 충돌의 우려가 있다. 위탁자 겸 수익자가 특정 서류의 송부를 청구한 대상판결의 사안에서, 대상결정은, 첫째, 위 두 법률 규정은 병행하여 적용되는 것이므로 舊신탁업법 규정에 의하여 신탁법이 인정한 수익자의 권리를 제한할 수 없고, 둘째, 위 법률에 의하여 인정되는 범위에 송부는 포함되지 않는다는 결론을 제시하였다. 이에 대하여 이 글은 관련법령을 분석한 끝에, 두 법률의 관계를 위와 같이 병행적용되는 것으로 보 는 것은 부당하고, 舊신탁업법은 신탁법의 특별법으로 신탁법의 정함을 제한할 수 있다고 보았고, 위 송부에 관한 판단은 옳다는 결론을 내렸다. 입법론으로 자본시장법의 규정을 신탁법에 맞추거나 또는 신탁법과의 관계를 좀 더 분명히 하는 방 향으로 개정하여야 할 필요가 있음을 주장하였고, 아울러 일본의 新신탁법의 관련규정을 분석하여 참고로 제시하였다.
Abstract
Any interested person like a beneficiary could request the trustee to let him inspect or explain for them, the books on trust or issue an abridged or certified copy. It is rights to inspection of documents. Legal ground of them is two laws, the Trust Law and the Trust Business Law(TBL. It has been nullified. The new law is the Financial Investment Services and Capital Markets Act(FSCMA). The content of two laws are not identified. There could be the conflict of two laws. In this case, the settlor and beneficiary requested the trustee to send some documents. The Supreme Court Decision has ruled like hereunder ; first, the two laws don’t contradict each other and the Trust Business Law(and FSCMA) can not restrict the rights which the Trust Law allows. Second, the interested person han no right to being sent to them. This essay analyses related laws and decrees. It insists that TBL and FSCMA are applied over the Trust Law and those two laws can restrict the rights which the Trust Law allows. It also insists that the Decision’s ruling on the right to being sent be right. This essay suggests that FSCMA should be revised, to apply to the Trust Law or to make clear the relation between FSCMA and the Trust Law. Moreover, it check up the new Japanese Trust Law.
