유상증자의 형태와 이익조정에 관한 연구

초록
유상증자시에 기업은 필요한 자금을 보다 많이 조달하기 위하여 이익조정을 통하여 유상증자 발행가액을 높이고자 하는 유인이 존재하며, 이는 많은 선행연구들에 의하여 검증되어왔다. 그러나 유상증자의 형태에 따른 이익조정여부의 검증은 거의 없는 실정이다. 따라서 본 연구에서는 유상증자의 형태에 따른 이익조정 여부를 검증하는 것을 목적으로 한다. 이를 위하여 2001년부터 2005년까지 유상증자를 실시한 147개의 기업을 대상으로 분석을 실시하였고, 분석결과는 다음과 같다. 첫째, 유상증자기업은 비유상증자기업에 비하여 유상증자이전연도에 재량적 발생액이 크다는 사실이 검증되었으며, 이러한 현상은 유상증자로 인해 발행되는 주식수가 많을수록 보다 강하게 나타났다. 둘째, 유상증자의 형태에 따른 이익조정여부의 검증결과 일반적인 유상증자인 구주주 배정기업 등에서는 유상증자전에 보고이익을 증가시키는 일반적인 형태를 띠는 것으로 나타났으나, 제3자 배정 유상증자기업에서는 오히려 유상증자전에 보고이익을 감소시키는 이익조정을 하는 것으로 나타나, 유상증자가 본연의 자금조달 목적으로 이용되는 것이 아니라 경영권 승계나 계열사 지배 목적으로 실시된다는 사실을 간접적으로 증명하였다. 이 같은 결과는 결국 우리나라에서 유상증자가 경영자의 기회주의적인 이익조정의 한 유인이 될 수 있음을 시사하는 것이며, 앞으로 이를 개선하기 위한 여러 제도적인 대책 등이 마련되어야 할 것이다.
Abstract
Seasoned Equity Offering(SEO) are useful method of take the capital of operation with firms. In most case the Price of stock with SEO granted is equal to the closing price of the stock on the day of grant. This paper examines earnings management prior to SEO firms. Because the cash flow of SEO is dependent on the stock price, management has the incentive to temporarily raise its share price prior to SEO date. This paper focuses on earnings management to increase market price prior to SEO from 2001 to 2005. Discretionary accruals are used as proxies for earnings management, Debt ratio, firm size, cash flow of operation, prior total accruals, share of institution and share of major owner are used as control variables. The results of this study are as follows. First, prior discretionary accruals are positively related to the SEO granted. Second, there is no relation between prior discretionary accruals and the number of SEO granted. Third, prior discretionary accruals are negatively related to the third party granted of SEO. This study provides some evidence that managers may use accruals to shift earnings to influence the stock price prior to SEO.
