초록
UN국제상거래법위원회는 그 산하에 모두 6개 실무작업반을 두고 분야별 논의를 계속하고 있다. 정부조달, 중재, 운송, 전자상거래, 도산, 담보 등이 논의 대상으로 이 가운데 전자상거래는 제4 실무작업반에서 그 논의를 진행하고 있다. 제4 실무작업반의 활동 주제는 지금까지 네 번의 변화가 있었다. 유가증권, 대금지급수단, 전자데이터교환, 그리고 전자상거래가 그것이다. 전자상거래를 주제로 논의를 시작한 것은 1997년 2월 제31차 회의부터로 오늘에 이르고 있다. 전자상거래와 관련하여 UN국제상거래법위원회가 이룩한 성과는 1987년의 ‘전자자금이체에관한법률지침’부터 살펴볼 수 있다. ‘전자자금이체에관한법률지침’에 관한 논의는 이후 계속되어 1992년 ‘전자자금이체에관한모델법’으로 보다 발전된 형태로 완성됐다. 1996년 5월 공식 채택된 ‘전자상거래모델법’은 사이버 스페이스에서의 상거래와 관련한 기본 입법 지침을 제시했다는 점에서 전자상거래 법제에 있어서 기념비적인 업적으로 그 의미를 평가한다. 많은 나라가 UN전자상거래모델법을 참고하여 입법했고, 1999년 제정된 우리나라 전자거래기본법 또한 동 모델법의 입법 지침을 참고했다. 1997년 그 활동 주제를 ’전자상거래‘로 바꾼 제4 실무작업반은 제31차 회의부터 전자서명 및 인증기관 관련 논의를 시작했다. 제4 실무작업반은 ‘기술중립’이라는 대원칙 아래 심도있는 협의를 계속한 끝에 2001년 3월 미국 뉴욕에서 열린 제38차 회의에서 ‘전자서명모델법’의 초안을 타결지었고 동 초안은 같은 해 7월 본회의에 상정되어 공식 채택됐다. 제4 실무작업반이 가장 최근에 이룩한 성과는 UN전자계약협약이다. 전자서명모델법 이후 논의를 진행해서 2004년 10월 오스트리아 비엔나에서의 제44차 실무작업반 회의에서 초안을 완성하고 2005년 7월 제38 본회의를 거쳐 같은 해 11월 제60차 UN 총회에서 확정됐다. 2004년 10월 오스트리아 비엔나에서 있은 제44차 회의를 끝으로 제4 실무작업반의 공식 활동은 중단된 상태다. 2010년 5월 17일부터 21일까지 미국 뉴욕에서, 그리고 같은 해 12월 6일부터 10일까지 오스트리아 비엔나에서의 회의를 잠정 예정하고 있지만 추후 사정에 따라 변경될 수 있다. 제4 실무작업반이 5년 이상 회의를 진행하지 못하고 있는 이유는 여러 가지가 있지만, 주요국들의 입장차이로 차기 논의 주제를 확정짓지 못하는 것이 가장 큰 이유라 할 것이다.
Abstract
There are 6 working groups under the United Nations Commission on International Trade Law(“UNCITRAL”), which have been discussing in each field how to harmonize the different laws all over the world. Those 6 working groups are for procurement, international arbitration and conciliation, transport law, electronic commerce, insolvency law, and security interests. It is the Working Group IV which are focusing on the electronic commerce. There have been 4 topics for the Working Group IV; International negotiable instruments(1973～1987), International payments(1988～1992), Electronic data interchange(1992～1996), and Electronic commerce(1997 to present). The first achievement by UNCITRAL on the laws related to the electronic commerce would be the Legal Gudie on Electronic Fund Transfer in 1987. The discussions on this guide have been continued to form into the Model Law on Electronic Fund Transfer in 1992. The UNCITRAL Model Law on Legal Aspects of Electronic Commerce, which was adopted on May, 1996 was the premier achievement as it has provided the basic idea for the electronic commerce law. Many countries including Korea enacted their electronic commerce laws after this model law. The Working Group IV, after changing its topic to the electronic commerce, began to discuss on the electronic signature and the authentication. Under the principle for technical neutrality, the Working Group IV agreed to the draft of UNCITRAL Model Law on Electronic Signatures on March, udiin, which was officially adapted on July,udiin. The most recent achievement by the Working Group IV is the United Nations Convention on the Use of the Electronic Communications in International Contracts. Ever since the 44th Working Group Conference in Vienna, Austria, the Working Group IV has been inactive. It is tentatively planning to hold a conference on May, 2010 in New York and on December in Vienna, Austria, but it is subject to change. The very reason for being inactive for more than 5 years is that it has not been able to adapt the topic for the coming session due to the different posions of each member.
