정비사업조합의 법적 성격과 과세문제

정비사업조합은 특별법인 도시 및 주거환경정비법에 따라 법인으로 의제되는 조직체로, 주택재건축과 주택재개발의 두 사업에 따라 각각 설립될 수 있다. 다만, 전자에 따라 설립되는 경우, 후자의 경우보다 공공성이 낮고, 영리성은 강한 반면, 후자의 경우에는 공공적인 측면이 강조되는 특성이 있다. 따라서 전자의 경우에는 영리법인, 후자의 경우에는 비영리법인으로 법적 성격이 파악될 필요가 있다. 다만, 현재 조세특례제한법에서는 한시적인 기간을 두고, 일괄적으로 양자를 비영리법인으로 의제하고 있는 특징이 있다. 또한 양자는 사업의 수행 및 운영 측면에서 볼 때, 실체(Entity)의 측면보다는 수익 또는 사업 목적 달성을 위한 도관(Conduit)의 성격이 강하므로, 이에 따라 과세제도가 구성될 필요성이 있다. 현행 조세특례제한법이나 법인세법, 소득세법 각 조항에서는 이러한 양자의 특성을 반영하고 있는 조항들이 발견되고 있다. 위의 논지에 따라서 조합원과 조합간의 출자와 새로운 주택의 공급을 양도로 보는 것은 부적당하며, 또한 법인세 계산에 있어서도 공동목적사업과 수익사업을 통한 회계 운영이 필요할 것으로 판단된다. 특히 현행의 조세특례제한법상 법인이 사실상 소득이 없음에도 과세소득이 존재하는 사례가 발생할 수 있는 문제가 있다. 또한 현재 조합원에 대한 수익 분배를 사업소득으로 보는 것에서 떠나, 사실상 배당소득으로 전환하는 것에 대한 논의도 필요하리라 판단된다.
Abstract
It has been accepted that Housing Reconstruction Association and Housing Development Association are both non profit organizations. But we need to classify these associations as a non-profit organization or a profit-making corporation. The former should be classified as a profit- making corporation, because it has so strong points for profit making, like distributing earnings to members, etc. But the latter should be a non- profit organization like at present. Because it pursues public benefit much than the former's. Also both types follow the path of conduit theory. because of member's favor for spontaneity and self-control. Therefore, we expect to need to change our tax system on this matter. We suggest some pinpoints to change our tax system, First, we need that corporation tax should be imposed on all the income of the association for tax adjustment. Second, we need to challenge to change the regulation to impose taxes on gains as business income into the regulation to impose as dividend income.
