지방자치단체의 국제투자 유치와 투자분쟁

Local Governments' Competition to Host Foreign Investment and International Investment Disputes

초록

지역경제 활성화는 각급 지방자치단체의 중요한 현안의 하나로 자리 잡게 되었고 현재 각급 지방자치단체는 자기 지역에 투자할 외국인 투자 유치에 경쟁적으로 나서고 있다. 해당 지역 내 외국인 투자의 증가와 이를 통한 지역경제의 활성화는 2008년 경제위기 이후 우리 경제를 정상궤도로 재진입시키기 위하여 노력하고 있는 우리나라의 중요한 국가과제의 하나로서 적극 추진되어야 할 사업의 하나임은 분명하다. 문제는 이러한 외국인 투자유치 정책 및 조치는 각급 지방자치단체가 독자적으로 결정하며 중앙정부 차원에서의 조율작업은 사실상 부재하다는 점이다. 국제법의 기본원칙은 특단의 사정이 존재하지 않는 한 중앙정부와 지방정부를 구별하지 않으며, 중앙정부의 행위이든 지방정부의 행위이든 모두 해당 국가의 행위로 귀속되고, 그러한 행위가 국제법 (가령, 조약)에 대한 위반을 구성하면 그대로 국가책임이 성립하게 된다. 따라서 지방자치단체의 조치로 인하여 한국이 (즉, 중앙정부가) 국가책임을 부담하게 되는 상황은 얼마든지 발생 가능하다. 이러한 점을 감안하면 현재 각급 지방자치단체가 적극적으로 나서고 있는 외국인 투자유치 정책과 조치에 대하여는 더욱 이러한 조율과 상호협조가 필요하다. 특히 이러한 문제가 지방자치단체의 외국인 투자유치 활동과 관련하여 대두되는이유로는 다음 두 가지를 들 수 있다. 첫째, 현재 각급 지방자치단체는 경쟁적으로 외국인 투자 유치에 나서다 보니 지방자치단체 상호간 경쟁하는 관계에 있다. 이러한 상황에서는 특정 외국인 투자유치를 위한 인센티브와 혜택이 점차로 파격적이 될 수밖에 없는 구조이다. 파격적인 투자유치 인센티브가 복잡하게 각급 지방자치단체별로 얽히게 될 경우 그 구체적 이행여부는 차치하더라도 이러한 파격적 대우로부터 배제된 여타 외국인 투자자와의 형평성 문제 등 복잡한 문제들이 제기된다. 지방자치단체의 외국인 투자관련 제반 정책 및 조치는 우리 정부의 외국인 투자관련 정책 및 조치와 동일시되어 경우에 따라서는 우리가 旣 체결한 양자간 투자협정 (BIT) 및 자유무역협정 (FTA) 상 규정된 투자규범에 대한 예기치 못한 위반을 초래할 수도 있기 때문이다. 둘째, 만약 지방자치단체의 투자유치 정책 및 조치가 기 체결된 BIT 및 FTA에 위반될 경우 이러한 문제를 적극 제기할 수 있는 포럼이 준비되어 곧 활성화된다는 점이다. 이는 이전에 비하여 외국인 투자자 입장에서는 자신의 입장을 개진하기 위한 절차적 수단이 보다 효과적으로 확보되어 있다는 의미이다. 바로 주요 BIT에서 채택하고 있고 또 최근 주요 FTA 교섭과정에서 심도있게 논의된 ISD 절차가 바로 그것이다. 따라서 향후 각급 지방자치단체의 외국인 투자 유치활동을 전개함에 있어서는 그 국제법적, 장기적 함의를 충분히 인식하고 중앙정부 및 여타 지방자치단체와 충분한 협의를 통하여 조치를 도입, 시행하는 것이 필요하다. 외국인 투자를 두고 경쟁관계에 있는 지방자치단체들이 이와 관련하여 협의와 조율을 하는 것이 쉽지만은 않을 것이나 장기적인 관점에서 투자분쟁에 효과적으로 대응하기 위해서는 이러한 체계적 대응이 필수적이다. 이러한 준비작업을 조속히 시작할 수 있도록 중앙정부 관련 부서의 적극적인 대응이 요구되는 시점이다.

Abstract

Korea’s local governments are vigorously seeking to host foreign direct investment from all over the world to boost their regional economies. In fact, it is important for the Korean local governments to continue to make efforts to invite more foreign investment in the future. The local governments’ active drive to bring in more foreign investment, however, has the potential of causing unintended investment disputes for the government of Korea. First of all, under international law, there is no difference between the central government and local governments. Both of them collectively constitute one government which is bound by a relevant international treaty or agreement. Bilateral Investment Treaties (BIT) or Free Trade Agreements (FTA), which provide legal norms in the investment sector, particularly make clear that these agreements are equally applicable to the local governments of the contracting parties. So, any violation of a provision in the BITs and FTAs by a local government of Korea is directly attributable to the Republic of Korea or the central government in Seoul, which may lead to a huge amount of compensation payment to the claimant foreign investor. At the same time, many investment disputes in other countries involve measures adopted by local government because investment by nature is made within the jurisdiction of a local government. Thus, local governments’ measures on investment are more vulnerable to international investment disputes than the ones adopted by a central government. As such, it is critical that the central government and local governments of Korea coordinate and cooperate when it comes to introducing, adopting or implementing measures to lure foreign investment. The basic legal problem in this regard arises from the situation where a local government offers a tempting incentive package to a prospective foreign investor. This kind of selective and targeted provision of preference may lead to the local government’s (thus Korea’s) violation of the Most-Favored-Nation provision, National Treatment provision, indirect expropriation provision or performance requirement provision, to name a few, depending upon the situation. Foreign investors who fail to get a similar level of incentives or preference could argue that they are being discriminated compared to other foreign investors and Korean investors which may then lead to Korea’s violation of the Most-Favored-Nation provisions or National Treatment provisions. Inconsistent policy implementation and non-transparent operation may also lead to the possible claim of indirect expropriation or imposing illegitimate performance requirements for those who fail to get similar incentives and preferences. And all these issues could be raised through the controversial Investor-State Dispute Settlement Procedure. Thus, the central government and the local governments of Korea should initiate contemplating on how to coordinate and cooperate among themselves regarding various investment policies and measures. A systematic and practical framework should be devised as soon as possible.
