论我国新股发行规制与适用中的问题点

As one of the ways to raise capital，IPO is respected by the shareholders of the company. But in the capital market of China, some of the IPO is issued as misappropriating. It does not only undermine the integrity of the capital market, but also make the capital market lose its proper function to raise capital. Furthermore, commercial Law lacks related measures to protect shareholders in the IPO, there is no doubt this will directly affect the development of China'scapitalmarket. Therefore this article revolves around a typical example of the recent IPO and China'sregulatoryanalysis, from the commercial point of view of regulatory issues which point to its application. The article also referring to foreign relief after IPO norms try to improve IPO system from the commercial point of IPO and to raise several legislative proposals in order to trigger more of discusses. The article want to explore new IPO system fit to the recent conditions.
