IFRS하에서 경영보고서를 통한 바람직한 공시 - 한국기업과 독일기업의 사례를 중심으로

본 논문의 목적은 IFRS의 전면적인 도입을 목전에 둔 시점에서, 국내기업이 IFRS의 규정에 따른 의무적인 공시 이외에 어떻게 자발적으로 경영진단보고를 통해 투자자와의 정보 비대칭을 줄일 수 있는지 독일기업의 우수 사례를 통하여 나아갈 방안을 모색하는 데 있다. 구체적으로 의무적인 공시정보와 자발적인 공시를 포함한 공시관련 내용을 MD&A 규정과 연관 지어 한국과 독일의 경우로 나누어 설명하였고, 덧붙여 IFRS 관련조항을 언급하였다. 이어서 한국기업과 독일기업의 공시실태를 비교하여 살펴본 후 IFRS하에서 경영보고를 통한 바람직한 공시에 대한 제안을 하였다. 경영보고는 외부적인 지침이 있을지라도 경영인의 시각에서 기업의 경영상황을 보고하기 때문에 자발적으로 작성될 수밖에 없다. 독일기업의 사례는 다양한 정보이용자에게 기업의 실상을 투명하게 전달하는 가능성을 보여주었으며, 이런 관점에서 국내기업도 경영보고 시 법 규정 준수에 국한할 것이 아니라 자발적으로 재무적, 비재무적 정보를 모두 활용하여 여러 이해관계자에게 유용한 실제 경영상황을 알리는데 주력해야 할 것이다. 이러한 유용한 정보가 지속적으로 제공되어야 국내기업의 경영보고서도 유용한 투자정보로 자리매김 하게 될 것이다.
Abstract
The objective of this study is to examine how information asymmetry faced by Korean companies can be reduced by adopting the voluntary disclosure of MD&A as in accordance with the IFRS. Specifically, it studies the contents of disclosure relevant to MD&A using German disclosures as a benchmark against Korean companies. Voluntary and mandatory disclosure along with the content and disclosure status are discussed for both Korean and German cases. With the study results, the recommended disclosure through MD&A under the IFRS is suggested. Despite the mandatory clause found in MD&A, the MD&A cannot help but to be voluntary in nature as it reports the business situation of company through the perspective of management. In Germany the transparent financial information is transferable to the different information users. On the other hand, in Korea, companies in addition to presenting the financial information voluntarily, they are also subject to legal obligations. Therefore, from such an environment, the voluntary disclosure of MD&A can evolve as a main source of overcoming information asymmetry.
