주주총회의 전자투표에 대한 고찰

초록
오늘날 정보통신기술의 비약적인 발전, 특히 세계최고의 수준의 정보통신기술을 유지하고 있는 우리나라의 상황과 주주의 참여를 높여 주주총회를 활성화시키는 방안의 일환으로 국제적 보조를 맞추기 위해 미국이나 일본 등에 비해 늦었지만, 2009년 상법의 개정을 통하여 전자투표를 도입하여 2010년 5월부터 시행하게 되어 동년 8월 23일에 비로소 한국예탁결제원이 전자투표관리기관으로서 인터넷기반의 전자투표시스템을 완비하게 되었는데, 상법 개정을 통해 주주총회의 의결권행사의 한 방법으로 도입한 전자투표는 여러 측면에서 효율성을 주고 있다. 회사의 입장에서는 주주총회 사무의 전자화로 시간․비용을 절감 할 수 있고, 의결권의 사전확보와 주주총회의 의안에 대한 가부의 동향을 미리 파악할 수 있어 의결정족수 확보를 위한 대응이 용이하고, 주주의 입장에서는 주주총회가 특정일에 집중해서 개최되는 현실을 감안하면 인터넷 등의 인프라가 구축되어 있으면 집이나 직장 등 장소의 구애를 받지 않고 의결권을 간편하게 행사할 수 있으며, 이에 따른 주주의 회사경영에 대한 관심과 참여를 높일 수 있는 장점이 있다. 주주총회의 활성화로 인한 회사에 대한 가치투자를 높일 수 있으며, 미국, 영국, 일본 등 선진국의 기업들은 2000년대 초부터 주주중시 경영, 기업경영 IT화 등을 위해 전자투표제도를 법제화하고 있는 국제적 환경에 보조를 맞추게 되어 외국인의 국내 기업에 대한 투자환경이 개선되는 등의 장점 등으로 인해 전자투표제도의 이용이 더욱 활성화될 것과 아울러 더 나아가 현장주주총회를 대체하는 전자주주총회로의 변화를 기대해 본다.
Abstract
The society has been becoming the high information society with the rapid development of the telecommunications technology for information and the appearance of internet, a new telecommunications media. The field of law is no exception and commercial code has already been in the process of change. especially, corporate section, unlike others, need to introduce the internet technology to heighten the efficiency of the organization and activities of the corporate, and many major countries such as america, british and japan, have accepted the internet technology and had it utilized. Shareholders’ Meetings were important because they provided a forum for discussion about the conduct of the business and a sharing of collective wisdom. The electronic ballot can provide efficiency and economic benefits such as acceleration of the corporate’s decision-making process and reductions in cost. Therefore, this paper studied the electronic ballot system was adopted in the Commercial Law of korea.
