전용실시권과 미국법상 Exclusive License의 비교 - 개념 및 권리구제, 병행수입에서의 차이점을 중심으로 -

초록
미국법상의 독점적 실시권(exclusive license)은 흔히 우리 법상의 전용실시권과 자주 비교의 대상이 되기도 하고 때로는 서로 대응되는 개념으로 소개되기도 한다. 그러나 양자는 그 개념이나 효과에 있어 적지 않은 차이점이 있으므로 특허권자와 실시권자 모두 실시권 설정계약을 체결함에 있어 이러한 차이점을 유념하여야 한다. 여기서는 미국법상 독점적 실시권의 판례상 구별기준 및 침해시의 구제수단, 특히 실시권자의 독자적인 소제기 가능성을 중심으로 살펴보고 국내법상 전용실시권의 경우와 비교하기로 한다. 또한 특허권 내지 실시권 침해의 한 유형으로서 국내에 독점적 실시권 내지 전용실시권이 설정된 상태에서 해외의 특허권자 내지 다른 실시권자가 생산한 제품이 국내로 수입되는 경우, 즉 병행수입의 문제에 대하여 검토하기로 한다. 이에 관해 우리나라에는 아직 판례가 많이 축적되어 있지 않으나, 미국의 경우 법원이 구체적인 경우에 따라 서로 다른 결론에 이르고 있다. 따라서 여기서는 병행수입에 대한 학설과 우리나라를 비롯한 각국의 태도를 개관하고 특히 미국의 판례를 유형화하여 각 경우에 따라 어떤 근거로 어떤 결론에 이르렀는지 정리해보기로 한다. 우리 법과 미국법상의 특허실시권 제도는 서로 그 개념이나 효과, 법적 구제수단에 있어 많은 차이점이 존재하므로 계약서를 작성하거나 실시권과 관련된 분쟁에 대처함에 있어 우리 법과 미국법상의 제도를 도식적으로 대응시키는 것은 부적절하고, 그 차이점을 충분히 고려하여 대처하여야 한다. 특허제품의 병행수입과 관련한 문제 역시 기본적으로 위와 같은 실시권에 대한 고찰을 전제로 하여야 정확한 구제수단의 선택이 가능하고, 나아가 각국 법원의 병행수입에 관한 입장도 함께 고려하여 대응하여야 할 것이다.
Abstract
In this article, U.S. law regarding exclusive licenses is examined and compared to that of Korean law. There is both a different concept and effect under these two legal systems. Both licensors and licensees should bear these differences in mind when they draft license agreements in the U.S. or in Korea. The conceptual difference between an exclusive license and assignment or other types of licenses and their treatment in many U.S. cases is discussed. The remedies for the infringement of an exclusive license (in particular, the right to sue in licensee's own name), is also examined. The matter of "parallel imports" arises when products made in one country by a patentee or licensee are brought into another country where a different exclusive licensee exists because the parallel imports now infringe upon the exclusive license. There are many cases concerning this problem in U.S. In this article we will give an overview of the theories on "parallel imports" and categorize the U.S. cases related to this subject. Cases of other countries including Korea are also reviewed.
