『상법총칙 ․ 상행위편』의 개정방향 - 2010년 개정된 『상법총칙 ․ 상행위편』주요쟁점 및 검토-

On January 5th, 2009. Korean Ministry of Justice had proposed to the Korean National Assembly the「Revised Part of Commercial Act ; General Provisions and Commercial Activities 」, and it was passed by the Plenary-Session of the National Assembly on April 21st, 2010 to become a Public Law, followed by the promulgation of the revised Act on May 14th, 2010. This newly amended Commercial Act shall come into effect on November 15th, 2010, six months after its promulgation. In this paper, the important parts of the amended General Provisions are introduced and explained firstly and secondly, material legal issues along with each relevant provision amended are reviewed. The「Revised Part of Commercial Act ; General Provisions and Commercial Activities 」which the Ministry of Justice proposed to the National Assembly, was partially changed with acceptable reasons, after the review of the Legislation and Judiciary Committee of the National Assembly, but it seems to need more discussion by the committee. It’s been almost 50 years since the Commercial Act was promulgated, and the economic and corporate circumstances within which the Act was established have unceasingly and tremendously changed. Thus, revising activities of the Commercial Act must continue to be implementedin accordance with the changes of corporate transactional environments. Henceforth, the revising effort of the Act needs to embrace and focus on IT-trend and globalization of corporate environments. It is the right time to bring together our wisdom and knowledge, so that we may establish an Advanced Commercial Legal System fitting to global standards which contributes to the national economic development.
