독일과 일본에서의 MDP 논의

초록

MDP는 ‘Multi-Disciplinary Practice’의 약어로써 변호사와 변호사 이외의 전문자격사 등과의 결합 형태를 의미한다. MDP가 논의되게 된 배경은 국민과 소비자를 위한 종합적인 법률서비스를 제공하기 위한 필요성 때문이다. 현행 변호사법 제34조에서는 변호사와 변호사 이외의 자의 동업을 금지하고 있어 변호사와 이종자격사 간의 동업은 기본적으로 허용되지 않고 있다. 독일의 경우에는 변호사법 제59조의 a 제1항 제1문에서는 변호사는 자신의 직업적 권한의 범위 내에서 하나의 공동법률사무소(Sozietät)에서 다른 변호사(변호사회의 회원) 및 변리사(변리사회의 회원), 세무사, 세무대리인, 회계사 및 선서장부검사인과 하나의 공동법률사무소를 열 수 있는 것으로 규정하고 있다. 그밖에 공용사무실(Bürogemeinschaft), 파트너회사(Partnergesellschaft), 변호사 유한회사(Rechtsanwalts-GmbH)형태가 허용되고, 판례상 변호사 주식회사(Rechtsanwalts-AG) 형태의 동업의 협력형태를 인정하고 있다. 일본의 경우에는 변호사법 제72조(비변호사의 법률사무의 취급 등의 금지)과 변호사법 제27조(비변호사와의 제휴의 금지)에 따라 변호사와 다른 자격사와의 동업이 적극적으로 허용되지 않고 있으나, 회계사무소는 산하의 법률사무소와 밀접한 업무제휴를 구축하는 방법인 사실상(de facto) MDP 방식으로 해결하고 있다. 일본에서는 변호사와 이종자격사 간에는 경비공동형은 허용하는 반면에 수지공동형은 기본적으로 불허하는 입장이다. 독일의 경우에는 변호사의 독립성의 확보가 법치주의의 기능유지에 불가결하다고 보고 있으며, 변호사의 동업을 법률유사 자격사에 한정하는 방식으로 접근하고 있다. 그러나 2007년 영국의 법률서비스법(Legal Services Act)의 제정에 영향을 받아 독일에서도 변호사법을 개정하여 다른 자유직업과의 계약을 체결하여 협력을 광범위하게 허용하되, 변호사의 독립성을 해하지 않는 방향으로 ABS (Alternative Business Service) 시스템을 도입하는 방향으로 입법적 시도가 있었던 점에 주목할 필요가 있다. 이에 반하여 일본의 경우에는 MDP에 대하여 소극적이며 변호사의 독립성과 윤리성의 확립을 강조하고 있다. 국제적 자유화시대의 변호사는 거대회계사무소 혹은 대기업에 고용되어 활동하는 경우가 늘어나게 되면서, 고용된 변호사의 독립성이나 윤리성을 고려하지 않는다면 변호사의 사회적 역할을 수행하지 못하게 된다고 보고 있다. 우리의 경우 독일과 일본 등 선진국의 논의상황을 고려하여 MDP를 도입하되, 구체적인 방향설정은 한국에 적용될 수 있는 실천적인 내용의 모델을 개발할 필요가 있으며, 변호사와 이종자격사 간의 동업에 있어 무엇보다 국가경쟁력 향상과 국민의 편의증진을 최우선적으로 고려하면서 입법을 추진할 필요가 있다고 본다.

Abstract

MDP (Multi-Disciplinary Practice) means combination of lawyer and other qualified professionals. The background of debate on MDP is the necessity of providing comprehensive legal service for people and consumers. Article 34 of the current Attorneys-at-Law Act prohibits association of lawyer with other non-lawyer professionals, and dose not basically permit partnership between lawyer and other qualified professionals. In Germany, Article 59 a Paragraph 1 (1) of the Attorneys-at-Law Act provides for that a lawyer, to the extent of his (her) professional rights, may open a joint legal office (Sozietät) in partnership with other lawyers (members of lawyers’ association), patent attorneys (members of patent attorneys’ association), licensed tax accountants, tax agents, certified public accountants, sworn auditors and so on. Besides, other various organizations such as common office (Bürogemeinschaft), partnership company (Partnergesellschaft), lawyers limited company (Rechtsanwalts-GmbH), etc. are allowed in Germany. In addition, a German judicial precedent acknowledges partnership in the type of lawyers corporation (Rechtsanwalts-AG). In Japan, partnership between lawyers and other qualified professionals is not legally allowed in accordance with the Attorneys-at-Law Act Article 72 (Prohibition of Legal Practice by Non-lawyers) and Article 27 (Prohibition of Alliance with Non-lawyers). In fact, however, many Japanese accounting offices are selecting de-facto MDP system by establishing close partnerships with affiliated legal offices. In Japan, the partnership in which incomes and expenses are shared is basically prohibited, while the partnership between lawyers and other qualified professionals in which only expenses are shared is allowed. Germany approaches the matter of lawyer’s partnership in the manner of limiting its scope to combination with similar qualified professionals, in consideration that independence of lawyer is indispensable for maintaining the functions of legalism. However, it is needed to note that Germany, greatly influenced by the England’s enforcement of the Legal Services Act in 2007, also tried to amend the Attorneys-at-Law Act to introduce the ABS (Alternative Business Service) system in which partnership between lawyers and other qualified professionals is extensively permitted to the extent of not impairing independence of lawyers. In the meantime, Japan stands negative for MDP emphasizing independence and ethics of lawyers. Japan believes that, even without consideration of independence and ethics of employed lawyers under the circumstances in which many lawyers are employed by large accounting firms or private companies, lawyers may come to be unable to play their social roles in the global liberalized age. In Korea, taking the cases of Germany and Japan into consideration, it is proposed that we introduce the MDP system but develop a practical model applicable to our situations. Legislation for partnership between lawyers and other qualified professionals is required to be processed in first consideration of national competitiveness improvement and convenience enhancement.
