一般商事消滅時效에 관한 商法 제64조의 立法趣旨와 그 適用對象에 관한 小考
A Study on the Reasoning and the Scope of the Extinctive Prescription Clause for Commercial Claims

이 논문에서는 상사소멸시효의 일반조항에 해당하는 상법 제64조의 입법취지와 적용대상을 중심으로 이에 관한 해석론과 입법론을 제시하였다. 상법 제64조의 입법취지에 관해서는, 소멸시효제도에 관하여 전통적으로 제시되고 있는 논거와 이에 대한 새로운 비판론을 기초로 하면서, 상사소멸시효제도에 고유한 논거로서 제시되고 있는 상사거래와 상사채권관계의 신속종결주의를 검토하고 이에 관한 판례이론을 분석하였다. 상법 제64조의 적용 여부에 관하여 ‘상행위로 인한 채권’에 해당하면 곧바로 동조를 적용하는 판례가 있는가 하면, 이에 그치지 않고 나아가 ‘상거래관계와 같은 정도로 신속하게 해결할 필요성’이라고 하는 기준에 의하여 동조의 적용여부를 재차 판단하는 판례도 있는 바, 이러한 접근방식은 구체적 타당성을 기하려 한 점에서는 나름 의미가 있으나, 시효에 관한 법률문제에 있어서 법적 안정성과 명확성을 저해하는 면이 있으므로 법리적ㆍ입법적 해결이 필요하다는 점을 지적하였다. 상법 제64조의 적용대상에 관해서는, ‘상행위로 인한 채권’ 모두를 포괄적으로 동조의 적용대상으로 하고 있는 법문언에 충실하되, 동조의 입법취지를 감안한 합목적적ㆍ제한적 해석이 필요하고, 이러한 해석적 한계를 넘는 문제에 대해서는 입법적 해결이 필요하다는 의견을 제시하였다. 상사소멸시효의 적용요건으로 되는 ‘상행위로 인한 채권’의 의미가 무엇인가라는 문제와 관련하여 ‘상행위성’ 과 ‘상사채권성’이 문제되는 개별 사항들을 분석하였다.
Abstract
Under the Commercial Code §64, the extinctive prescription provision of five years is applied to cases which have arisen through commercial activities, including subsidiary commercial transactions and unilateral commercial transactions. This clause is intended for speedy termination of commercial transactions, comparing to Civil Code §162① which provides that a claim shall lapse if it is not exercised for ten years. Recently the Committee on the Amendment of Korean Civil Law announced the draft bill of 2010 to amend the system of extinctive prescription on a large scale. This paper examines the basic reasoning of extinctive prescription for commercial claims under the Commercial Code §64 as a general provision applicable to extinctive prescription in commercial areas, and also analyzes the notion of commercial transactions in order to verify the scope of the above clause. The interpretation and legislation of Commercial Code §64 should be based on the spirit of fast termination of commercial claims. To cope with the Civil Code reform draft of 2010, this paper makes some legislative proposals on the Commercial Act §64 and relevant clauses for securing its legal certainty as well a quick exodus from the potential commercial claims related to extinctive prescription.
