특허법 제99조는 특허권 공유자의 자유로운 실시권을 보장하고 있지만, 그에 기한 이익 배분의무를 언급하고 있지 않다. 또한 지분의 양도나 실시권 설정 등에 공유자 전원의 동의를 요구하면서 저작권법과는 달리 신의에 반한 동의거부를 금지하는 규정이 없다. 그러나 이러한 특허법의 태도는 지나치게 특허발명을 실시하는 지분권자의 이익 보호에만 치우쳐 여러 가지 문제를 낳는다. 이를 당사자 간 계약에만 맡겨 둘 것이 아니라 특허법 제99조 제2 내지 4항에 대한 합리적 해석을 통해 이러한 문제점을 보완하는 것이 바람직하다. 구체적으로, 각 공유자는 발명특허 전부를 자유롭게 실시하여 이익을 얻을 수 있지만 ‘지분의 범위를 넘는 독점적 사용으로 다른 지분권자에게 손해를 준 것’으로 평가되면 부당이득 반환의 형태로 보전(補塡)할 의무가 있다고 보아야 한다. 공유지분의 양도나 실시권 설정에 공유자 전원의 동의를 요구하는 특허법 제99조 제2항은 재산권 행사에 지나친 제약을 가하여 부당하고 특허제도의 목적에 비추어 국가 경제적으로도 바람직하지 않으므로, 지분권을 처분하려는 공유자는 상당한 이유 없이 동의를 거부하는 공유자를 상대로 법원에 의사의 진술을 명하는 판결을 구할 수 있어야 한다. 입법론으로, 지적재산권의 공동소유에 관하여 특허법과 저작권법이 서로 다른 규율을 할 합리적 근거는 발견되지 아니하므로 양자가 정합성(整合性)을 갖추도록 향후 법을 개정함이 상당하다.
Abstract
Art. 99 of Patent Act provides co-owner of patent can exercise the patented invention free without the duty to account while he needs other co-owners’ unanimous agreement to transfer his share or license to the third party. This 'Practicing entity oriented' attitude of Patent act provokes lots of problem in private justice as well as the propriety of Patent system operation. Hence, Art. 99 needs to be interpreted to admit the duty to account because the practicing co-owner actually harms other co-owners expected market opportunity through 'Over-share use' of the invention. Furthermore, each co-owner should be endowed with the right to seek for 'Order to consent' against the co-owner who opposes the transfer or license of share without reason. In the long run, Art. 99 of Patent Act needs to be amended to accord with Art. 48 of Copyright Act as there are no persuasive grounds for discrepancy between two statutes.
