2011년 개정 회사법의 내용과 과제 - 회사지배구조를 중심으로 -

1. 2011 revised Korean corporation law adpoted newly executive officer system(Art. 408-2～408-9), electronic registration of shares etc.(Art. 356-2, 424-4, 478 ③, 516-7). In case that minority shareholders convene shareholders’ meeting by themselves by obtaining a permission of the court, the court may appoint the chairman of shareholders’ meeting by Art. 366 Para. 2. of the 2011 revised Korean corporation law. Company or minority shareholders may demand the court to appoint an inspector to examine the legality of convening procedure and voting method of shareholders’ meeting before the shareholders’ meeting is convened by Art. 367 Para. 2. of the 2011 revised Korean corporation law. 2011 revised Korean corporation law also allowed auditors to convene the meeting of board of directors and to demand experts’ advices with the company’s expenses(Art. 412 ③, 412-4). 2. 2011 revised Korean corporation law made Korean corporation law step up for global standards and solve the many problems in the company. But Korean corporation law adopted foreign advanced corporate governance systems only partially. And such new system has not harmonized well with existing system. Therefore it is quite required to establish a new corporate governance system in the near future which can be well harmonized with existing system and also guarantee transparent management.
