파생상품거래에 있어서 이사의 의무에 관한 소고

초록
파생상품거래는 여타의 금융투자상품에 비해 그 구조가 매우 복잡하고 다양하여 업무를 집행한 이사가 불완전한 정보하에서 의사결정을 내릴 가능성이 큰 까닭에 이와 관련한 책임의 존부에 대한 논란이 야기될 수 있다. 또한 더 나아가, 이사가 시장위험을 적절하게 파생상품거래를 통해 관리하지 못한 경우에도 이사의 의무 위반을 구성하는지도 검토되어야 한다. 영리를 목적으로 추구하는 회사는 필연적으로 위험을 감수하여야 하고, 이러한 위험을 감수한 대가로 영업이익이 창출된다고 본다면, 이사가 파생상품거래를 통해 분산할 위험을 결정하는 것 또한 경영진에게 위임된 고유권한으로서 경영판단의 대상이 될 수 있다. 따라서 이사가 합리적인 정보에 입각하여 회사에 최선의 이익이 된다는 믿음하에 성실하게 한 행위는 비록 결과적으로 잘못된 것으로 인정된다 하더라도 해당 파생상품거래가 법령에 위반하거나 정관목적범위 밖의 거래가 아닌 경우, 경영판단원칙의 보호를 받을 수 있다. 다만, 그러한 보호를 받기 위해서는 이사는 파생상품거래를 함에 있어, 해당 파생상품거래의 구조 및 위험에 관해 충분한 지식이 있어야 하고, 이를 하부조직에 위임할 경우에도 이를 체계적으로 감독할 위험관리시스템을 구축하여야 한다. 이사가 해당 상품에 대하여 지식이 충분하지 못한 경우에는 반드시 전문가의 조언에 의해 보충되어야 한다.
Abstract
A derivatives transaction is defined as a financial contract that derives its value from an underlying asset. Derivatives will work as effective methods for reducing certain financial risks. Derivatives transactions may be used for the purpose of making underlying exposure hedged. Article 382(2) of the Korean Commercial Code provides that the relationship between a corporation and its directors is to be governed by the provisions concerning mandates contained in the Korean Civil Code. Under the law of mandates, directors have the duty to conduct the business of the corporation with the standard of care of a good manager. Article 382-3 requires directors to perform their duties faithfully for the good of the company in accordance with the relevant acts, subordinate statutes and the articles of incorporation. The Korean Supreme Court has applied the business judgment rule to cases in which the issue is whether its directors breached their duty of care or not. However, the business judgment rule is not applicable to cases in which the directors violate the purposes proscribed in the articles of incorporation. By its nature, any derivatives transaction is associated with an enterprise-wide risk. In order to protect corporate directors from breaching their duties, a detailed guideline for doing derivative transactions should be provided in the near future.
