유사상장법인 비교평가방법의 조정주가와 실제주가의 비교분석

본 연구는 주당 경상이익, 주당 순자산 등 비상장법인과 상장법인 간에 차이가 많은 변수를 동원하여 유사상장법인 비교평가방법(비교법)에 사용하는 조정주가를 추정하는 대신에 총자본이익률에 의하여 선정된 상장법인 주가를 그대로 비교평가 주가로 사용할 수 있는지를 검토하였다. 그 결과 조정주가를 이용한 경우보다 실제주가를 이용할 경우 비교법 적용 기업의 수가 5배가량 늘어나고 있었다. 조정주가를 이용할 경우 실제주가를 이용할 경우보다 비교법 주가 평균은 10배 이상 높았고, 이에 대응하는 보충법 주가는 큰 차이가 없었다. 보충법과 비교법의 최대 최소값을 구한 결과 최소값에서는 큰 차이가 없었지만 최대값에서는 조정주가를 이용할 경우에 비현실적인 값이 도출되었다. 첨도와 왜도의 경우 비교법 적용 대상 기업의 경우 조정주가를 이용하나 실제주가를 이용하나 큰 차이는 없었지만 비교법 적용을 받지 못하는 기업의 조정주가는 실제주가보다 첨도와 왜도가 큰 차이로 높았다. 이와 같은 결과는 조정주가를 산출하는 데 이용되는 주당경상이익과 주당순자산이 비상장기업과 상장기업 간에 차이가 크고 분포 형태가 다르므로 실제주가를 이들 변수를 기준으로 비례적으로 변화시키는 것은 오히려 객관적이고 타당한 주가 산출에 실패하고 있다는 것을 보여준다. 향후 비교법에 실제주가를 직접 적용하거나 조정주가 산출 공식에 변화가 필요하다고 사료된다.
Abstract
This study investigates the possibility of the use of actual stock prices(ASP) instead of manipulated stock prices(MSP) of listed firms to estimate stock prices of non-listed firms for inheritance tax. The ASP is derived based on return on assets and the MSP is calculated by the equation of inheritance tax law. Samples are collected from the year of 2005 to 2009. When ASP is used instead of MSP, the number of listed firms adopted to estimate the stock price of a non-listed firm is increased as five times. The average stock price using MSP is ten times higher than that using ASP. However, stock prices by suppletion method are not different by the alternatives of ASP and MSP. This result may be because variances and distributions of ordinary income per share and net asset per share which are used for MSP calculation are much different among listed and non-listed firms. Thus, ASP needs to adopt directly to estimate stock prices of non-listed firms or the MSP calculation method needs to be revised.
