Corporation Law Provisions That Need Urgent Revison

The Korean Commercial Code was enacted in 1962. Thereafter, it was revised several times in an effort to adapt to the commercial environment. However, such frequent revisions have left the code with complication mainly due to discord among provisions. Many inconsistent and erroneous provisions were emerged from the 2011 revision of KCC, in part because so many–about 260 Articles–were revised that year. The author of this paper has pointed out quite a number of provisions that have either theoretical or practical errors, and suggests rapid amendment of those provisions about which there are no theoretical disputes among scholars as being erroneous.
