주요국 기업지배구조의 최근 동향 및 향후과제

The U.S. administration proposed a financial regulatory reform after financial crisis. And the U.S. Senate and the House of Representatives passed the Dodd-Frank Wall Street Reform and Consumer Protection Act. The UK government tries to review corporate governance in UK banks in the light of the experience of critical loss and failure throughout the banking system. The other advanced countries are in the same situation. The Korean government amended the system concerning the outside director after the global economic crisis. It also introduced the executive officer system by the amendment to the commercial law. It enacted the compliance system for listed company on revised version of commercial law. And it tries to enact the consolidated law related to the corporate governance in the financial institutions. It will be a important issue to maintain the independence of outside director in company. It is necessary to introduce the mandatory executive officer system in case of mandatory outside director. It will be a important issue to solve the de-facto officer faced by the korean company under the commercial law in Korea.
