국제가맹점의 실태와 모델계약서에 관한 연구

초록
국내외 기업이 자신들의 사업적 확장을 위해 가맹사업을 활용하는 이유는 우선적으로 비용측면에서 그 이유를 찾아 볼 수 있다. 우선 가맹본부들은 자신들의 검증된 물품과 서비스에 대한 가맹시스템을 통해 적은 비용으로 급속도로 확장시킬 수 있기 때문이다. 둘째, 가맹사업을 통한 기업의 확장은 기업들에게 위험을 분산할 수 있는 효과를 줄 수 있다. 가맹본부는 가맹사업을 통해 자금의 문제와 물품 및 서비스의 판매에 대한 채널을 확보할 수 있다. 그러나 가맹사업의 국제화를 위한 법률적 측면에 관한 정보 및 방안들은 현실적으로 정부 또는 유관기관 및 학계에서 찾기가 어려운 것이 현실이다. 국내에 가맹사업에 진출한 국제기업들이 몇 곳이 있는지 국제 가맹사업을 수행하는 국내 기업들이 몇 곳이 있는지 아직 까지 정확한 자료가 존재하고 있지 않다. 가맹사업의 국제화를 위해 당사자들은 국내외의 다양한 법률들을 검토해야 할 필요성이 존재할 것이다. 이러한 사실은 정부의 정책적 지원이 절실하게 필요한 부분이라 사료된다.
Abstract
This study examined franchise business that has now been most frequently used as a process of corporate internationalization. Corporations take advantage of the franchise business as a safer and more reliable way in order to expand their own business fields, and international franchise applicants or international franchisees aim to do stable business by taking advantage of franchiser's know-how. However, realistically legal approaches to the international franchise business has been inadequate. Therefore, parties to international franchise agreement will meet legal obstacles in doing international franchise business. This study presents contractual legal considerations to international franchiser, international franchise applicants and international franchisees in this regard.
