법익적대적 법인문화, 위험관리 실패와 법인의 형사책임

초록
법인의 형사책임을 검토함에 있어서 커먼로 국가에서는 종래 동일성 이론과 대위책임 이론을사용하고 있어 왔다. 그런데 동일성 이론과 대위책임 이론에서는, 비록 법인을 형사처벌의 대상으로 보고 있기는 하지만, 범죄는 오로지 자연인만이 범할 수 있다는 전통적인 형사법의 시각은그대로 유지되고 있었다. 그러나 1990년대 이후 영국이나 호주 등의 국가에서는 법인의 형사책임을 자연인의 형사책임으로부터 분리시키고, 법인 고유의 형사책임을 인정하려는 시도가 행하여졌다. 이러한 시도의 바탕에 놓인 법인처벌이론이 바로 법익적대적 문화에 기초한 법인처벌론이다. 법익적대적 문화에 기초한 법인처벌론에서는 법인이 법인활동으로 인하여 발생하는 위험에대한 총체적인 지배의무를 부담하고 있으며, 총체적인 위험지배의무의 미이행으로 인하여 발생한 법익침해의 결과에 대하여 당해 법인이 직접 형사책임을 부담하여야 한다고 본다. 법인처벌의근거가 되는 총체적인 위험지배의무의 내용은 제도적인 측면과 사실적인 측면의 두 가지 측면으로 나누어 검토할 수 있다. 먼저 제도적으로 법인은 업무집행과정에서 발생할 수 있는 위험을적절히 통제할 수 있는 기술적, 제도적 장치를 마련할 의무를 부담한다. 그리고 사실적으로당해 법인은 법인 내에서 구성원들이 공유하는 행동방식이 법익친화적으로 형성되도록 할 책임을 부담한다. 법인에 대하여 형사책임을 부과함에 있어서 사실적인 측면을 고려하도록 한 것은법인 내에 안전문화(Safety Culture)가 올바로 형성되는 것이 효과적인 법익보호를 위하여 필수적으로 요구된다는 점을 고려한 것이다. 법익적대적 문화에 기초한 법인처벌론에서는 법인처벌의 목적 내지 이유를 일반예방이나특별예방에서 찾아야 한다고 본다. 그리고 전통적인 형벌부과의 수단을 법인에 대하여 사용하는것은 적절하지 않다고 본다. 법인에 대하여 자유형을 부과하는 것은 애초부터 상정할 수도 없으며, 벌금형은 일회적으로 효과를 발생시킬 뿐이어서 법인 내부에 적절한 위험관리 시스템을마련하도록 하거나 구성원의 행동준칙을 법익친화적인 형태로 변환시키는 데에는 그다지 효율적 이지 않기 때문이다. 이러한 사정을 고려하여 법익적대적 문화에 기초한 법인처벌론에서는 보다직접적으로 법인 내부의 구조를 개선하는 데에 기여할 수 있는 새로운 형벌을 찾아내야 한다고본다. 최근 들어 많이 논의되고 있는 법인에 대한 보안처분이나 미국에서 사용되는 법인에 대한기소유예/기소중지 제도 등이 좋은 참고자료가 될 수 있을 것으로 보고 있다.
Abstract
To determine when a corporation should be criminally liable, commonwealth jurisprudence has employed two major standards, namely "vicarious liability" and "identification principle" which locate its criminal liability derivatively through the culpability of individual actors. But since the 1990s, some countries have enacted legislations which make a corporation criminally responsible on the basis of management failure or corporate culture. In such statutes a corporation can be prosecuted and convicted if its management failure directed, encouraged, tolerated or led to an offence or a corporate culture existed in the corporation that encouraged, tolerated or led to that management failure, without asking if a director or officer be convicted of an offence. According to the corporate culture model, a corporation can be prosecuted if an offence is occurred due to the failure in its safety system, or if there isn't any safety system established in the corporation at all. It should be also examined weather the goal set by a corporation encourages, or discourages, illegal activity by corporate employees. If top management places the utmost priority on maximizing the value of a corporation and doesn't take safety seriously, these factors are weighed in favor of finding a corporation criminally liable. It is still disputed if a corporation can be held criminal responsible when corporate culture that encourages or tolerates an offense is shared only in its subdivisions. Corporate Manslaughter and Corporate Homicide Act 2007 in the U.K. focuses on management failures at a senior level, whereas the Australian Criminal Code Act 1995 declares that corporate culture only found in the part of the body corporate in which the relevant activities takes place should be also attributed to a body corporate. Accepting that a corporation should be responsible for controlling, reducing, or eliminating all sorts of risk it creates, it's not important to examine if a corporate culture which led to an offense existed in a corporation generally or just in part of it. The punishment of a corporation cannot be justified with the traditional retributive model of criminal liability which links sanctions to the blameworthiness of an individual, because a corporation lacks the capacity to be morally blameworthy. From the point of view of a corporate culture model, the role of corporate criminal liability should be understood from the perspective of rehabilitation and deterrence rather than retribution. The corporate culture model of a corporate criminal liability would require that an attitude, policy, rule, practice etc. within a corporation that led to an offense be changed and a corporation develop an appropriate and functional safety culture. The problem is that traditional sanctions such as fines and incarceration are not adequate to protect legal interest (Rechtsgut) from corporate offense. Incarcerating a corporation is unimaginable, and it is well known that fines does not work properly for a corporation. Sanctions like fines and incarceration could deter individuals from illegal behavior, but it is unclear that the imposition of such sanctions would effectively force corporations to develop a proper safety culture. Also, we need a new sentencing option to ensure a convicted corporation to take steps toward a safety-oriented culture.
