사모투자전문회사의 사원 간 권한분배 및 지배관계에 대한 소고

사모투자전문회사가 우리 법에 도입된지도 벌써 10년이 넘었고, 기업 인수, 합병 및 자본시장거래에 있어서 중요한 시장참여자로서 기능하고 있다. 그러나 아직도 사모투자전문회사에 있어서 업무집행사원과 유한책임사원의 권한분배 형태 및 이와 관련하여 누가 사모투자전문회사를 지배하는지에 대한 문제에 대해서는 해석상 불명확한 부분이 많고, 입법적인 관점에서 불합리한 부분도 있다. 자본시장과 금융투자업에 관한 법률에서는 사모투자전문회사를 상법 상의 합자회사 형태로 규정하고 있으므로 사원간의 대내적인 권한분배 및 지배구조 문제는 사원 간의 합의에 따라 자율적으로 설정할 수 있다고 보는 것이 원칙일 것이다. 실무에 있어서도 사모투자전문회사 자본의 대부분을 투자하는 유한책임사원이 사모투자전문회사의 의사결정에 관여하여 업무집행사원의 이해상충 등을 견제하고 자신의 투자목적을 달성할 필요가 있는 경우가 많고, 이에 따라 다양한 형태로 사모투자전문회사의 의사결정에 유한책임사원이 관여하고 있다. 그러나 자본시장과 금융투자업에 관한 법률의 사모투자전문회사에 대한 특례규정에서는 유한책임사원이 사모투자전문회사 재산인 주식 또는 지분의 의결권 행사에 영향을 미쳐서는 아니된다고 하고, 사모투자전문회사의 업무집행사원이 그 주요한 업무를 제3자에게 위탁할 수 없도록 하는 등 유한책임사원이 사원 간의 자율적인 합의에도 불구하고 사모투자전문회사의 업무집행에 관여하는 것이 상당히 제약되고 있다. 그러므로 어느 정도까지 유한책임사원이 사모투자전문회사의 의사결정에 관여할 수 있는지에 대해서는 아직도 모호한 부분이 많다. 또한 경우에 따라서는 예외적으로 업무집행사원이 아니라 유한책임사원이 사모투자전문회사의 주요한 의사결정을 지배하여 사모투자전문회사를 지배한다고 볼 수 있는 경우도 있을 수 있는데, 그 구체적인 유형에 대해서도 해석상 불명확한 부분이 많다. 그리고 이러한 이유 때문에 사모투자전문회사의 의사결정을 누가 지배하는지에 따라 규제의 방향 및 내용이 달라지는 독점규제 및 공정거래에 관한 법률, 금융지주회사법, 금융산업의 구조개선에 관한 법률 및 은행법 등의 입법 및 해석에 있어서 불명확하거나 불합리한 점이 발견되고 있다. 따라서 어느 정도까지 유한책임사원이 사모투자전문회사의 업무집행에 관여할 수 있는지를 해석론을 통해 명확히 하는 것이 기본적으로 필요하다. 이에 대해서는 불가피한 정책적인 필요가 있는 경우가 아니라면 합자회사 지배구조의 일반원리에 부합하도록 사원간의 합의에 의한 자율적 결정을 존중하는 것이 바람직할 것으로 생각된다. 본 논문에서는 이러한 관점에 기반하여 사모투자전문회사의 설립 과정에서 미리 유한책임사원의 주도 하에 투자대상기업 선정 및 투자조건 등을 결정하는 경우, 사모투자전문회사의 사원총회 혹은 투자심의위원회 등 내부의사결정 기관을 통해서 유한책임사원이 업무집행에 관한 의사결정을 하는 경우, 유한책임사원이 특정 의사결정에 대한 거부권을 가지는 경우 등 유한책임사원의 업무집행 관여가 문제되는 경우에 있어서 현행 법령의 해석론 상 유한책임사원의 관여가 어느 정도까지 허용되는지에 대하여 살펴 보았다. 그리고 이에 기초하여 유한책임사원이 업무집행에 관여하는 경우 중에 어떠한 경우에 유한책임사원이 사모투자전문회사의 의사결정을 지배하는 것으로 볼 수 있는지를 유형화하였다. 이를 통해 누가 사모투자전문회사를 지배하는지에 대한 독점규제 및 공정거래에 관한 법률, 금융지주회사법, 금융산업의 구조개선에 관한 법률 및 은행법 등의 다양한 규정들에 대한 합리적인 해석론을 제시하고, 위 규정 중 불합리한 부분에 대한 입법론적 개선방안을 제안하여 보았다.
Abstract
It has been more than 10 years since regulations of private equity funds (“PEF”s) were adopted in Korea, and PEFs have served as one of the key participants in the M&A and capital market transactions. However, in respect of the application of the PEF regulation, the issues regarding the allocation of powers among the general partners and limited partners of a PEF is still vague. According to the Financial Investment Services and Capital Markets Act(“FSCMA”), Korean PEFs are incorporated as the form of Hab-ja Hoesa. Therefore, in principal, the allocation of powers between general partners and limited partners of a PEF is based on an agreement between the partners. In addition, it is necessary for limited partners to participate in the decision making process of a PEF for the purpose of holding conflicts of interest between general partners and limited partners in check, and the limited partners in fact participate in the decision making of a PEF in many ways. However, the PEF regulation in the FSCMA principally prohibits limited partners from taking part in the decision making of a PEF to some extent, notwithstanding an agreement between the partners which permits the limited partners to participate in the decision making of a PEF. Given such regulation, it is difficult to identify the way the powers of the general partners and limited partners of PEF are allocated appropriately and the cases in which limited partners control a PEF. We need to make the above issues clear because identifying who control a PEF is critical with respect to the application of the Fair-Trade Law, the Financial Holding Company Act, the Bank Act and many other relevant regulations. I believe that it is necessary to permit the participation of limited partners in the the decision making of a PEF based on the autonomous agreement between partners, which is in accordance with the basic governance structure of Hab-ja Hoesa and also helpful for the purpose of holding conflicts of interest between general partners and limited partners in check. Based on the insight presented above, this article continues to review to what extent the limited partners would be able to intervene in decision making of a PEF, and categorizes the cases in which the limited partner is considered to control a PEF.
