이 글은 금융투자협회가 채택한 표준 사채관리계약의 제한약정을 미국 법률가협회가 채택한 모범 사채관리계약의 제한약정과 같이 상세하게 규정할 것을 제안한다. 이 글은 사채발행시 사채권자의 보호를 위해 채용할 수 있는 ‘사채관리계약’의 구조와 작동방식, 사채관리계약에서 채용할 수 있는 여러 ‘제한약정’(covenant), 특히 회사의 채무부담능력에 제한을 가하는 ‘채무제한약정’에 대해 상세히 살펴보는 것을 주된 목적으로 한다. 먼저 표준 사채관리계약의 구조 및 모범 사채관리계약의 구조에 대해 간단히 살펴보고 나서, ‘제한약정’이 경제적으로 어떠한 역할을 하고, 어떻게 작동하는가를 살펴본다. 그 다음에 금융투자협회가 채택한 제한약정이 상대적으로 간단한 이유에 대해 살펴보고, 마지막으로, 회사의 채무부담능력에 제한을 가하는 ‘채무제한약정’이 어떠한 역할을 하고, 어떻게 기초되고 해석되는가를 구체적으로 살펴본다. 특히 채무제한약정이 채무유발제한약정 방식으로 기초되는 경우에 그 구조, 이 때 재무비율기준에 따라 허용되는 재무비율부채와 기타 예외적으로 허용되는 여러 유형의 허용부채에 대해 살펴본다.
Abstract
This article proposes an adoption of more detailed bond covenants in Korean Standard Bond Administration Contracts following US Model Indenture. The article researches among other things (i) the structure of ‘bond contracts’, (ii) various kinds of ‘bond covenants’ that can be employed in the contracts, and (iii) the role and drafting of ‘a debt restriction covenant’ designed to curb the issuer's particular ability to incur debts. Firstly, this article briefly looks at the general structure of ‘bond contracts’ that is intended to protect bondholders, and the kinds and function of various ‘covenants’ in the contracts. It also compares example covenants appearing both in the Korean standard contract and in American Model Indenture. Then, the article examines how any individual covenant or combined covenants may operate to the protection of bondholders from different perspectives, and searches the reason why US covenants in the Model Indenture are more detailed than those in Korean standard contracts. Finally, this study investigates the structure and drafting of ‘a debt restriction covenant’ adopted in US Model Indenture. In particular, the way how to draft a ratio debt that is allowed to incur according to a financial ratio test, and other specified types of permitted debts exceptionally allowed under a debt restriction covenant are thoroughly explored.
