회생계획안의 인가 -기업가치의 분배를 중심으로-

초록
회생절차는 재정적 어려움에 처한 채무자기업을 청산하는 대신 이를 존속시키면서 채무자기업이 창출하는 계속기업가치를 회생담보권자, 회생채권자, 주주⋅지분권자들 사이에 분배하는 절차이고, 회생계획은 그 분배되는 가치의 액수, 시기, 방법을 정한 집합계약서로서의 성격을 가지고 있다. 회생계획안은 절대다수의 동의 혹은 이에 갈음하는 권리보호조항의 설정과 법원의 인가에 의하여 동의하지 않은 자에 대하여도 구속력을 갖게 된다. 이 논문은 계속기업가치의 분배에 초점을 맞추고 있다. 회생계획안의 제출권자, 회생계획안의 제출권자와 대립되는 이해관계인에게 부여되어야 할 견제수단, 의결권자에 대한 정보의 제공, 조의 분류, 가결의 요건 등에 관한 규정은 이해관계인들이 회생계획안의 내용에 관하여 협상을 함에 있어 힘의 균형을 이룰 수 있도록 정해져 있어야 공정하고 형평에 맞는 계획안이 마련될 수 있을 것이다. 이에 본고에서는 채권자⋅주주⋅지분권자 사이의 재산의 분배에 영향을 미치는 위 사항들에 관하여 고찰하고 입법론적 개선안을 제시하였다. 채무자회생⋅파산법은 권리자들 사이에 계속기업가치를 분배하는 기준을 제시하고 있는바, 청산가치보장의 원칙, 공정⋅형평에 맞는 차등의 원칙 및 평등의 원칙과 회생계획안이 부결된 조에 대한 권리보호조항이 그것이다. 본고에서는 이러한 제 원칙의 의미와 적용범위를 명확히 하고자 노력하였다. 특히 공정⋅형평의 개념으로부터 절대우선의 원칙을 도출하려는 것은 해석론상 무리일 뿐 아니라 미국 파산법의 “absolute priority rule”을 법개정을 통하여 도입하는 것 역시 바람직하지 않다는 결론에 이르렀다.
Abstract
Business reorganization is a procedure in which a business entity in a financial distress reshuffles the debt structure, continues in operation instead of being dismantled and soled in piecemeal, and distributes the reorganization value among secured creditors, unsecured creditors and equity holders. A plan of reorganization is a kind of collective agreement that stipulates the amount of the value to be distributed, the time when and the method by, such distribution would be made. A plan is accepted in a class of claimants if those claimants who hold absolute majority of money amounts of allowed claims vote to accept the plan. However, the court may confirm a plan of reorganization over the objection of classes of creditors by inserting a protection clause (cram-down clause) which gives better treatments to the dissenting classes than the original plan. A court-approved plan has a binding force on all the claimants and classes even in cases where they did not accept the plan. This article focuses on the distributive issues in the confirmation of a plan. Critical factors for a successful reorganization plan include proponents of a plan, leverages of parties to keep the power balanced against the proponent, provision of information to voters for informed decisions, classification and requirements of confirmation. Such items should be codified in a way that each party has an equal voice and motives to make the reorganization procedure successful, which will guarantee the plan be fair and equitable. In this context, this article analyzes the clauses of the Business Reorganization and Bankruptcy Law of Korea concerning these issues and suggests a statutory reform. The Business Reorganization and Bankruptcy Law of Korea manifests criteria by which a going-concern value of a reorganized debtor should be distributed; best interest of creditors test, fair and equitable difference in the treatment of different classes, equal treatment of claimants in the same class and protection clause for dissenting classes. This article aims to clarify the meaning of these doctrines and their scope of application, and concludes that a Korean version of “absolute priority rule” cannot be drawn from the “fair and equitable difference in the treatment of different classes” doctrine. However, this article is opposed to adopting “absolute priority rule” of American Bankruptcy Law either, because the “dissenting class protection clause” in the Korean law is better than American “absolute priority rule”.
